1 Minutes: Dwntwn Arlingtn Business Assciatin Bard Meeting Minutes Octber 7, :15 6:15 am Lcatin: City Hall Cuncil Library Present: Dana Fwler, Mike Britt, Brittany Kleinman, Jeff Phebus, Zeph Ragland, Taira Knee, Wendy Gill- Petersn, Mary Andersn. 1. Prcedures Overview fr DABA mail, crrespndence (events and regular), membership frms, gathering and distributing funds, cpy prcess fr events & financial dcumentatin. Mary Andersn stated that she and Administratr Wendy Gill had created a prcess flw fr all types f mail and related payments. She passed ut a cpy t each Bard Member. She felt that this prcess flw culd alleviated cnflicts and slve time inefficiencies. She walked members thrugh the prcess fr the membership frm prcess frm receipt in the mailbx t final entry int the database. She asked if there were any ther questins? Nne were asked. Mary als nted that if yu d printing at Arlingtn Cpy, Mail & Mre, please submit the receipt t the Treasurer as this cnstitutes an invice. Dana and Taira als pinted ut that Arlingtn Cpy, Mail & Mre has the ability t put the event name in the mem f the print jb receipt which culd als help track csts mre clsely during events t help manage budgets. 3. Strategic Planning Reprt Develpment and Missing Minutes Mike Britt stated that the minutes Dana had recrded have accidentally been deleted and may nt be recvered. Dana stated she had dne sme searches n the hard drive fr the dcument in its entirety with n success. Next, she will take the laptp t a cmputer repair shp t see if they can find it. Wendy Gill has re-created the minutes frm the facilitatr, Annique Bennett and 1

2 added in Mary and Taira s minutes. There are sme gaps and the flw is smewhat cnvluted. Als, n specific infrmatin arund the actin items is nt present. Dana and Wendy will get tgether t see what can be dne. Meanwhile, Mike Britt will set up a fllw up meeting with the Bard t re-capture the actin items. 4. City f Arlingtn Htel/Mtel Grant Apprval Dana Fwler stated that this grant is due Octber 23, 2015 and DABA will be applying fr a ttal f $22,900. Several events like the Viking Fest and the Stilly Valley Little League Banner Ads were added while ther events will ask fr an increase in supprt as they are grwing ver time. Dana stated that the Bard must apprve applying fr the grant in an amunt nt t exceed $25,000. This amunt is the based request and des nt include matching amunts. Further, she will add an Appendix t these minutes that shws the specific amunts applied fr in each event area. Actin Taken: Zeph Ragland mtined t apprve. Jeff Phebus secnded. All in favr? Mtin carried. 5. Member Brchure Update Jeff Phebus, Chair, reprted that he had fallen behind n getting this brchure re-designed. He has the invice frm the graphic designer wh wrks fr Certified Flder and has submitted a check request in the amunt f $ t pay fr the design. Jeff has further asked Dana t step back in t the prject t help get it dne. Tgether they will wrk t have it dne by December t start circulating in January f Viking Fest & Pub Tur Taira Knee, Chair, reprted that there were a ttal f 139 Pub Tur Maps and 70 Daytime Shpping Maps sld. She estimates that attendees came ut fr this inaugural event. Next years date is already set as the first Saturday in Octber. She will nt cntinue n as Chair next year. Sarah Lpez has cmmitted t serve n the cmmittee again. Taira stated that the Vikings f America want t attend again next year and will bring mre reenactrs. Spnsrs were pleased at the utcme as were many f the businesses invlved. Whiskey Ridge Brewery stated that they had had the largest sales day since pening during the Viking Fest. Arund 130 Swedish pancake breakfasts were served. Taira turned in a binder and flash drive t administratr Wendy Gill. 7. Debit Cards at Bank f America & Event Payment Device Mike Britt briefly mentined that DABA is getting a device that can be at all events t take payments. 2

3 8. ABC Cmmittee Update Nt discussed. 9. Bard Electins Cpies f by-laws and rules f rder were circulated by Mike Britt. Rules f rder are nw current and a cpy has been submitted t the Chamber. Mike Britt asked if anyne has any cnflicts. Mike asked if the Bard agreed that right nw we have a cnflict arund electins. Jeff, Taira and Dana said yes. Mike asked if Bard members wuld nminate themselves fr a psitin next year. Mike is meeting with Marilyn sn and will pass n nminatins t her in Nvember fr electins in December. Dana stated that she is cncerned abut the mmentum f DABA ging frward and the lack f qualified candidate. Taira agreed there is a cnflict and will run as President even with sme reservatins. Zeph will nt run again fr a bard psitin. Jeff Phebus is undecided abut running fr President. Wants t keep mmentum ging. Has structured cmpanies fr last 25 years. He emphasized that the President s psitin must be transparent. If elected, he wuld spend lts f time with Mike ging frward if need be and will stay very invlved. We must fcus n dwntwn business. He des nt t see anther business shut dwn. Mike als stated that Bill Dettrich will nminate himself fr the Bard. Taira asked if anyne bjected t her running. Dana stated that she did because she wuld rather have smene wh had been n the bard lnger. She wuld like t see mre executin ver a lnger perid f time. Further there were quite a few relatinship aspects that she did nt feel Taira had t be successful bth at the public level and with the DABA member businesses. Dana als stated that there was a cncern that DABA has lst its fcus because f derisin amng Bard Members. Taira stated that she wuld be all in as President r ff the Bard. Jeff stated he als had a cnflict with Taira. If elected he will vacate the bard. He wuld nt supprt her in that rle due t lack f a slid track recrd, thugh the Viking Fest was amazing. Just nt enugh experience. Mike had the Bard pull ut the by-laws and rules f rder. In the event f a cnflict between Bard Members that wuld cause DABA t disslve, the Rules f Order which state that directrs nly serve tw years successively in any psitin culd be ver-ridden by the By-laws which state that a directr culd serve a third year. T that end, Mike has decided that he 3

4 cannt leave DABA with a cnflict that culd cause its disslutin s he will run again fr President. He asked if Jeff wuld be kay with serving again as Vice-President. And he stated that he wuld. He further asked if any Bard Members wuld have a cnflict with his serving a third year. Dana stated n. Brittany stated she was undecided and declined t state why. Taira said she had a persnal cnflict with Mike s she wuld nt run fr any psitin and wuld resign at the end f her term. Mike indicated that the 2 nd Bard psitin wasn t required t be filled and if vacated wuld be filled at the next electin. Mike stated his regret and said thank yu t Taira fr her service as Viking Chair. 10. Bard Meeting Adjurnment Zeph Ragland mtined t adjurn. Brittany secnded. All in favr? Mtin carried.
