LEGAL COUNSEL REQUEST FOR QUALIFICATIONS (RFQ) REVIEW Recommend action to identify a review committee to evaluate and score the Legal Counsel RFQ responses and make a recommendation to the Board. Ms. Lacey Kiriakou presented to the Board and informed that nine firms responded the RFQ. The recommended review committee included Breanne Ramos, Merced County Farm Bureau, Jerry Furtado, Yosemite Farm Credit, Lacey Kiriakou, County of Merced, and a representative from Merced County Counsel's office. MOTION: M/S PARK MARCHINI, AND CARRIED BY A VOTE OF 5 0, THE BOARD APPROVES ACTION IDENIFYING A REVIEW COMMITTEE TO EVALUATE AND SCORE THE LEGAL COUNSEL RFQ RESPONSES AND MAKE A RECOMMENDATION TO THE BOARD ON THE NEXT BOARD MEETING OF JULY 13, 2017 VII. 6 BOARD ACTION ITEM TO: MEMBERS OF MERCED SUBBASIN GSA GOVERNING BOARD FROM: MARK HENDRICKSON, SECRETARY DATE: JULY 13, 2017 SUBJECT: LEGAL COUNSEL RECOMMENDATION SUMMARY: The Request for Quotation for Legal Counsel Services for the Merced Subbasin GSA was launched on May 2, 2017 through the County of Merced, and closed on May 24, The RFQ solicited responses from attorneys or firms to provide general counsel services in relation to public agency governance, public meetings, water law, the Sustainable Groundwater Management Act, and other public contracting issues. Nine firms or attorneys responded to the RFQ. The review committee appointed at the June meeting consisting of Breanne Ramos, Advisory Committee Member (Merced County Farm Bureau), Jerry Furtado, Advisory Committee Member (Yosemite Farm Credit), and Lacey Kiriakou, Member Agency Staff (Merced County) reviewed and evaluated the responses individually and together agreed to recommend the highest evaluated respondent. The recommended firm is Herum Crabtree Suntag with co-lead counsels of Jeanne Zolezzi and Karna Harrigfeld. Attorney's Zolezzi and Harrigfeld have extensive work in the San Joaquin Valley representing water districts, and working with agencies on SGMA compliance such as assisting with GSA formation. Herum Crabtree Suntag does not represent any parties to the Merced Subbasin GSA or represent any of the GSAs in the Merced Subbasin. The RFQ review committee is recommending the Governing Board appoint Herum Crabtree Suntag with Jeanne Zolezzi and Karna Harrigfeld as co-lead general counsels to the Merced Subbasin GSA and authorize the Chairman to execute a contract on behalf of the GSA, with services consistent with the scope of work included in the RFQ. REQUEST/RECOMMENDATION/ACTION NEEDED: 1. Approve the recommendation from the Legal Counsel RFQ Review Committee to appoint Herum Crabtree Suntag's Jeanne Zolezzi and Karna Harrigfeld as GSA General Counsel. 2. INTRODUCTION SECTION 1 INTENT OF THE REQUEST FOR QUOTATION The Merced Subbasin Groundwater Sustainability Agency (Agency) is seeking a statement of quotation submittals from attorneys or firms with experience representing public agencies in general governmental procedures, compliance, contracts and transactions, and civil litigation to provide General Counsel legal services for the Merced Subbasin Groundwater Sustainability Agency. The Merced Subbasin GSA is primarily interested in a firm's or attorney's experience in relation to general counsel needs and water law, related to the Sustainable Groundwater Management Act. The legal services provided may include general public agency governance, public meetings and public records issues, water rights, intergovernmental agreements with other Groundwater Sustainability Agencies (GSA) or public agencies, public contracting issues, and litigation. Preference will be given to local respondents. A firm or attorney selected as General Counsel will serve at the pleasure of the Governing Board of the Agency. If the Merced Subbasin GSA determines to award a contract for general counsel legal services as a result of this RFQ, it will enter into a contract establishing the terms and compensation for the subject services BACKGROUND INFORMATION The Merced Subbasin GSA was formed in 2017 through a joint powers agreement between the County of Merced, County of Mariposa, Le Grand-Athlone Water District, Merquin County Water District, Plainsburg Irrigation District and Stevinson Water District, along with the participation of the Lone Tree Mutual Water Company and the Sandy Mush Mutual Water Company as contracting entities. The Merced Subbasin GSA was formed for the purpose of developing, adopting, and implementing a Groundwater Sustainability Plan for a portion of the Merced Subbasin in order to implement the Sustainable Groundwater Management Act's requirements and achieve the sustainability goals outlined in the Act. The Merced Subbasin GSA intends to involve the public and local stakeholder through outreach and engagement in developing and implementing the GSA. The Agency will work with other GSA's operating in the Merced Subbasin and with GSAs operating in the neighboring subbasins to achieve inter-basin coordination. As a newly formed public agency, the Merced Subbasin GSA is subject to the Brown Act. The Merced Subbasin GSA is governed by a six member Governing 3

10 Board representing the member agencies and contracting entities. The service area of the agency includes 337,500 acres in the Merced Groundwater Subbasin SCHEDULED ACTIVITIES To the extent achievable, the following schedule shall govern the review, evaluation and award of the submission. 11 SECTION 2 REQUIREMENTS 2.1 RESPONDENT QUALIFICATIONS All attorneys performing services for the Merced Subbasin GSA must be admitted to practice in the State of California and be members in good standing with the State Bar of California The attorney with primary responsibility for the services provided to the Agency ( Lead Counsel ), must have experience providing general counsel legal services for local public agencies, special districts, or municipalities Demonstrated legal expertise (including counseling and litigation) in the following practice areas as they relate to public agencies, special districts and municipal governments in California: a. Laws and regulations governing California special districts and municipalities and governance of public entities,, e.g. the Ralph M. Brown Act; Public Records Act; Political Reform Act; conflicts of interest laws; general public entity and municipal law; and the California Government Code b. Sustainable Groundwater Management Act (SGMA) c. Water rights matters in state courts and before the State Water Resources Control Board. d. Environmental law, including: California Environmental Quality Act (CEQA); federal National Environmental Policy Act (NEPA); California and federal Endangered Species Acts; federal Clean Water Act and the California Porter-Cologne Water Quality Act. e. Governance of public agencies, special districts and municipalities, including amendments and bylaws. f. Legislative and administrative (regulatory) law, both California and federal, including proposed and enacted legislation. g. Other relevant areas pertaining to special district and municipal law, including liability claims, legal compliance, ethics, and risk avoidance. 5

12 2.1.4 Lead Counsel shall typically attend all Governing Board meetings, and the attorney must be accessible to provide legal assistance to the Agency on an emergency basis Firms and attorneys who currently represent parties to the Merced Subbasin GSA or previously represented parties to the GSA during the formation process, will not be considered. 2.2 SUBMISSION REQUIREMENTS Cover letter (no longer than 1 page) - The cover letter should convey a clear understanding of the requirements and objectives, and why the Respondent is uniquely qualified to be awarded a contract Respondent's Qualifications - Summary of overall qualifications and experience of the Respondent Proposed Respondent Team - The Proposal shall identify the Lead Counsel who will be primarily responsible for providing legal services to the Agency, and other attorneys and staff to be assigned to the Agency legal matters. Please include the qualifications, training, and certifications of Lead Counsel, and all other attorneys and staff who will perform the services outlined herein Fee Schedule - This section should identify the billing rates for listed personnel, as well as other costs or expenses that would be charged in conjunction with the work References - The names, addresses, and telephone numbers of three (3) clients who have contracted with the Respondent for services similar to those described in this RFQ within the last three years. 2.3 NUMBER OF COPIES TO BE SUBMITTED Please submit one (1) original signature hard copies to be signed in blue ink (original copies marked as such) and four (4) exact copies of the original. 6

13 SECTION 3 SELECTION CRITERIA 3.1 The following criteria will be used by the Merced Subbasin GSA in evaluating submission: a. 30 BOARD ACTION ITEM TO: MEMBERS OF MERCED SUBBASIN GSA GOVERNING BOARD FROM: MARK HENDRICKSON, SECRETARY DATE: JULY 13, 2017 SUBJECT: FISCALYEAR BUDGET SUMMARY: The Merced Subbasin Joint Powers Agreement requires the Governing Board approve an annual budget at the beginning of each fiscal year. The new fiscal year started July 1, This item presents a proposed budget for the fiscal year for Board consideration. The proposed budget continues the initial budget approved by the Governing Board in February This is a basic budget funded by the original Board Member contributions and does not collect any new funds from Board Members. This budget may be amended at a later date, should the Governing Board make any changes to funding allocation or to reflect increased revenue. Approval of this basic budget gives the GSA authority to pay bills in fiscal year Upcoming expenses for the Governing Board to be aware of are legal expenses for any newly appointed general counsel activities, Proposition 1 grant application development costs, and reimbursement to member agencies for time staff spent working on behalf of the GSA. Additionally, once a basin-wide GSP consultant is selected GSP development costs will incur quickly. The Governing Board may wish to start exploring revenue options available to the GSA through SGMA. 32 BOARD ACTION ITEM TO: MEMBERS OF MERCED SUBBASIN GSA GOVERNING BOARD FROM: MARK HENDRICKSON, SECRETARY DATE: JULY 13, 2017 SUBJECT: INTERBASIN AGREEMENT BETWEEN MERCED SUBBASIN AND CHOWCHILLA SUBBASIN In 2016, during the most recent Basin Boundary Modification process through the Department of Water Resources, the Chowchilla Water District requested a basin boundary modification between the Merced Subbasin and the Chowchilla Subbasin. The boundary modification moved portions of the Chowchilla Water District that were in the Merced Subbasin into the Chowchilla Subbasin and moved portions of the Merced Irrigation District (MID) and Merced County unincorporated areas that were in the Chowchilla Subbasin into the Merced Subbasin. See attached maps. At the time the Merced County Board of Supervisors sent a letter to DWR supporting the modification conditional on an interbasin agreement or memorandum of understanding (MOU). Similarly, Merced Irrigation District opposed the modification unless there was a interbasin agreement or MOU. By fall 2016, an interbasin agreement among the Chowchilla Water District, MID, County of Madera and County of Merced was close to being finalized and MID removed their protest allowing the basin boundary to be modified as requested by the Chowchilla Water District. This interbasin agreement has been in negotiations every since and is close to being finalized. The purpose of this agreement is to establish compatible sustainability goals and understandings for the subbasins, with a focus on the areas where the activities occurring within one Party's jurisdiction may affect groundwater within another Party's jurisdiction and to coordinate preparation of each subbasin GSP. While the interbasin agreement was started and negotiated before the GSAs were formed, this coordination will take place between GSAs and the Parties to the agreement intend that this coordination will be addressed in each basin's Groundwater Sustainability Plan. At this time it is appropriate to consider transferring this agreement from the individual agencies to the GSAs. Most of the parties to the agreement have formed their own exclusive GSAs, the Merced County Board of Supervisors may consider action in a future meeting to transfer the agreement from the County to this multi-agency GSA. This is an informational item for the Governing Board, no action is required. If action is required by this Governing Board in the future, this item will be brought back for Board consideration. 34 BOARD ACTION ITEM TO: MEMBERS OF MERCED SUBBASIN GSA GOVERNING BOARD FROM: MARK HENDRICKSON, SECRETARY DATE: JULY 13, 2017 SUBJECT: UPDATE ON MERCED COUNTY STRESSED BASINS GRANT In 2016, the County of Merced was awarded a $499,942 Counties with Stressed Basins Grant from the California Department of Water Resources Sustainable Groundwater Planning Grant Program. These Proposition 1 funds were awarded for projects that support sustainable groundwater management planning and implementation, the Merced County project is the Sustainable Groundwater Management Act Readiness Project. The County of Merced contracted with RMC Water and Environment/Woodard & Curran to complete the activities outlined in the grant agreement with DWR for the Sustainable Groundwater Management Act Readiness Project.
