2 Prduct Develpment Prcess Raining Rse, Inc. Step 1: Discvery Call An Accunt Manager and Prject Crdinatr will schedule a call with yur team t discuss yur prject. Our gal is t understand and identify if ur resurces and experience are a gd fit fr yur prject and vice versa. A Quality Agreement and Prduct Prfile will be cmpleted and will include tpics such as: frmula, raw materials, primary packaging, timeline/need, testing, claims and vlume. Knwing the specific claims yu plan t make n yur prduct and its packaging ensures that we select the crrect raw ingredients; eliminating delays when apprving yur prduct and/r satisfying the initial Purchase Order. Step 2: Prduct Develpment Cngrats, this stage means we may be a gd fit fr each ther! Yur request will be submitted t ur Prduct Develpment Team fr sample creatin which starts the imperfect science f prduct develpment. We try t nail the frmula dwn n the first run, but anticipate a few versins t achieve an apprved frmula. Althugh we have a lab packed with raw material samples, if surcing f materials is required, ttal lead time fr yur first samples can take 4-6 weeks. After yur initial sample is cmplete an apprximate qute will be prvided. Fllwing cnfirmatin f secndary packaging ptins, any additinal testing, tling, etc., yur Accunt Manager will prvide yu with a final prject qute. Step 3: Frmula Apprval Just as it sunds, frmula apprval means yur frmula is gd t g! At this pint, we wuld als have identified packaging, required testing and a Purchase Order (PO) shuld be in the wrks. Fr us it means we are getting the ever imprtant batching instructins and Bill f Materials (BOM) setup. This prcess can take 1-2 weeks as we like t make sure it s dne right the first time. Step 4: PO Entry First time prductin runs have an apprximate lead time f 8-10 weeks; hwever lead time is unique t each prject and cntingent upn receiving materials, cmpnents, pack ut, etc. Once yur PO is entered by a Sales Assistant, yu will receive an Order Cnfirmatin as well as an apprximate ship date. Step 5: Pilt r Trial Batch The imperfect science f prduct develpment means smetimes R&D may suggest a Pilt r Trial Batch upn apprval t make sure the lab prcess scales up in prductin. If we believe either a Pilt r Trial Batch is necessary fr yur prduct, we wuld discuss the ptins and any assciated fees prir t implementing. Step 6: Testing Raining Rse has standard testing requirements n ur prduct develpment samples and prductin run tests ranging frm Organleptic t Assay, depending n yur unique frmula. Additinal testing may be required fr any claims (e.g., Gluten Free, Brad Spectrum). Testing perfrmed may increase prject lead time and additinal charges; we will prvide a qute as sn as pssible. pg. 2

3 Step 7: Prductin Prductin is where the magic happens! Yur prduct will be batched, filled, labeled, and packed ut until a beautiful finished prduct is ready t ship. Yur Sales Assistant will have stayed in tuch t prvide updates alng the way and crdinate shipping needs. pg. 3

4 Prduct Develpment Prcess Raining Rse, Inc. Once we have reviewed yur Prduct Prfile and executed the Quality Agreement, we can begin the Prduct Develpment Prcess. Research & Develpment Raining Rse is pleased t prvide prduct develpment samples free f charge, including the initial sample request and several revisins. Primary & Secndary Packaging We can surce cmpnents and displays t help meet the standards f a quality finished prduct. Custm cmpnents require physical sample apprval with a lead time f 8-12 weeks after apprval Custm displays require die, pantne, and artwrk apprval with a lead time f 4-6 weeks after apprval We fllw the industry standard f 10% ver/under; fr Custmer Supplied (CS) packaging, please accunt fr this by sending an additinal 10% f all packaging cmpnents. (Ref: Custmer Supplied Cmpliance Dcument) Claim Supprting Dcumentatin In rder t supprt yur Marketing Claims, Raining Rse will prvide a Cmpsitin Statement, SDS, Spec Sheet and IFRA (if a fragrance) fr yur raw ingredients, upn yur request. Additinal dcumentatin can be requested which culd result in delays and expense. Pricing All qutes are prvided n a prject-by-prject basis specific t ingredients, timing, and primary packaging. Any requests fr unique pack ut will need t be requted. All qutes are vid after 60 days. Payment Plicy Raining Rse requires first rders be prepaid in its entirety and allw 50% dwn with receipt f PO and the balance prir t shipping. Payment can be made via check, CC, r ACH. Custmers can elect t fill ut a Credit Applicatin fr Net 30 Terms. Term apprval can take up t 30 days and is dependent n reference feedback. Subsequent rders will be Net 30 upn credit apprval. Any prjects that request Raining Rse huse excess raws, cmpnents, packaging, etc. will require apprval and a signed Cmmitment Letter, taking wnership f excess inventry by date chsen by Raining Rse. pg. 4

5 Custmer Supplied Materials Cmpliance Raining Rse, Inc. Raining Rse is a manufacturer f high quality, safe, and cst effective persnal care prducts. In an effrt t insure safe prducts, streamline ur prcesses and be fd grade and FDA cmpliant, we have specific guidelines in place fr all f ur suppliers. Prducts will remain in quarantine until each aspect f the details is cnfirmed. Raining Rse reserves the right t refuse t accept / return any imprperly packaged, damaged materials r materials received withut prper dcumentatin. General Packaging/Shipping: Label must be legible and at a minimum; list the prduct name, vendr lt #, and quantity Organic prducts must have labels clearly stating Organic Certifier n every cntainer Only Fd Grade Cntainers Acceptable and Cmpletely Sealed Any Prduct With Hles r Damaged Packaging Will Be Rejected Prper Ntificatin t yur Sales Assistant (Preferably a Tracking r PRO Number) Pack Slip: Prduct Descriptin Of Cntents Supplier Item Number Raining Rse Item Number Quantity Shipped NET weight Lt Number Expiry Date r Shelf Life Quality Dcuments (with each shipment): Spec Sheet (r COA if nt available) Lt Specific Expiratin Date r Shelf Life Manufacture Date Vendr Lt Number Cmp Statement SDS Allergen and IFRA Statements if needed NOP Organic certificatin, if applicable Prir t receipt f prduct (we cannt receive prduct withut): Material Safety Data Sheet (MSDS) standard frm must include the fllwing: Flash Pint f Prduct Flammability (NFPA) Rating Persnal Prtectin Index Frm f Prduct Liquid/Slid/Semi-Slid These requirements may change ver time as quality prcedures and regulatins change. 6 Custmer Credit Plicy Raining Rse, Inc. New Custmers: All initial rders are prepayment. Prepayment may be in the frm f check, credit card, r ACH/Wire. Prducts will nt ship until payment is received. All custmers wishing t establish credit will need t cmplete a credit applicatin. Credit applicatins must be signed. Upn credit evaluatin, which will take apprximately 30 days, the custmer may be extended terms with first rder prepaid in its entirety; subsequent rders will be net 30 days upn credit apprval. Credit Verificatin Prcess: Upn receipt f a cmpleted credit applicatin credit references will be verified with a minimum f 3 references returned cmpleted. Custmers that are established with ASI will be checked n Credit Cnnect fr years in business, sales dllars, and payment histry. Raining Rse reprts custmer statistics t credit cnnect mnthly. After verifying credit references it is smetimes necessary t als check D&B references as well. D&B will be checked fr years in business, sales dllars, liens and filings, and payment histry. Credit Denial: A custmer may be denied credit based n the fllwing: Insufficient credit histry We have either nt gtten enugh references back, the references given d nt extend terms, r the reference has recently extended terms t the custmer. Payment beynd terms We have gtten references back that cnsistently establish payment at least 30 days beynd terms extended. Insufficient credit extended All references given were with cmpanies that establish credit amunts significantly less than what they are asking frm Raining Rse pg. 6

7 Art Set-up Guidelines Raining Rse, Inc. Acceptable Sftware: We accept the newest versins f Phtshp and Illustratr. We are unable t wrk with native files frm Freehand, CrelDraw, PageMaker, Publisher, PwerPint r Wrd. If yu nly have artwrk in these files, please save r exprt an EPS, PS r PDF file t submit. File Setup Size: Please set-up files at full print size, n larger than 16MB. D nt add bleed r crp marks unless prvided template frm Raining Rse Graphics Department r Sales Representative. Please d nt use multiple art bards in Adbe Illustratr. Keep crucial elements, such as text, lgs in an utlined frmat t ensure all artwrk will print crrectly. Please ask yur Raining Rse Sales Representative r Graphic Designer t give yu the safe area template measurements fr each f yur labels. Reslutin f Images: We recmmend 300 dpi at full size. Resampling up an image in Phtshp t a higher dpi, will nly sften the image, nt add detail. Always preview raster artwrk at actual print size t check fr any hidden flaws. 100 dpi and lwer can still lk gd frm a distance, but may lk pixelated upn clser inspectin depending n the label size. CMYK vs. RGB Mde: We nly except CMYK clr mde. If yu re given the ptin f "embedding a prfile" when saving any art file, yu shuld always chse t embed it. Pantne PMS Clrs: Yu shuld spec all crucial clr matches frm the PMS Pantne guidebk. We d nt accept metallic pantne clrs within the Pantne guidebk. There are sme clrs we cannt reprduce exactly, but we will get as clse as ur printer allws. If chsing Pantne clrs in Phtshp r Illustratr, select yur clrs frm the "PANTONE Slid Cated t get the mst accurate results. Critical clr issues shuld be crdinated with yur Sales Representative. Unique mixes f varius CMYK % values and flat images like digital pictures cannt be verified in a guidebk and will print, "as is". Black Specificatins: Fr the richest black utput, set slid black bjects in yur file, including vectr and raster art, t these specs: CMYK Clr Mde -- C: 50 M: 50 Y: 50 K: 100 Fnts: Outline ALL fnts befre submissin. Artwrk Restrictins: D nt design with brders arund the edge, as they may becme uneven due t necessary prductin ver-sizing. If yu must, thicker brders are mre frgiving, than thinner brders. We cannt guarantee the even thickness f brders if yu use them. Clrs prduced using different utput prcesses r fabric types will nt match exactly. If yu submit a clr as a tint r percentage f a PMS clr, it will be printed, as is. We cannt guarantee the tint as the PMS guidebks and clr charts d nt shw us exactly what that tint shuld lk like. Yu may want t chse a lighter shade PMS clr instead. pg. 7
