4 GMR Global Mineral Resources Corp. owns 100% of the Red Elephant gold property; comprised of 3 mineral tenures (British Columbia Mineral Titles # , , ). Located in the Slocan area of southeastern British Columbia, Canada, the tenures total an area of hectares. The showing is to the north and east and at lower elevation than the Bannockburn [082KNW051] and Sheila [082KNW052] properties During an exploration program from , Roper Resources Ltd. conducted diamond drill core sampling. Historical estimates from Roper Resources Ltd. quoted an indicated resource of 26,463 tonnes grading 40.8 grams per tonne gold. Exploration was discontinued in 1990 due to the low price of gold at the time (approx. $420 USD/ounce 1990 annual average; source: NYSE). On February 8 th, 2012 the NI Technical Report on the Red Elephant Property; by Stephen B. Butrenchuk P. Geo., P. Geol. was filed with the British Columbia Securities Commission. The NI Technical Report is available to view and/or download by visiting: Red Elephant and Surrounding Mineral Tenures In 2011, GMR Global Mineral Resources Corp. completed an exploration and sampling program that consisted of extensive improvements, maintenance and rehabilitation on approximately 24km of Healy Creek Road leading to the property and resampling of the Red Elephant mineralized gold zone. GMR received assays from ACME Analytical Laboratories (Vancouver) Ltd. for samples recovered during the summer 2011 sampling program completed on the Red Elephant. Results from the 2011 Red Elephant sampling program confirmed historical surface sampling results. Three of the five rock samples collected from the main Red Elephant zone returned assay values ranging from 21.6 to 39.4 grams per tonne. Two other samples collected from the same zone contained values of 2,542 and 7,546 ppb gold. 5 Historical Estimates / Workings In the early 1900s, an adit was driven for 16.8 metres in a north-west direction into loose, decomposed, rusty coloured schist. The tunnel was then split into three drifts for a total length of approximately 46 metres. In 1927, the then owners sunk a 21.3 metres deep shaft and developed about 68.6 metres of crosscut and drift. A sample of partially decomposed, silicified schist and honeycombed quartz exposed in an open cut near the portal assayed a historical estimate of 42.5 grams per tonne gold. In 1927, it was found to extend for at least 21 metres to the base of the shaft. In 1984, Bannockburn Resources Limited reported a 1 to 2 metre-wide band which had been traced on strike for 130 metres. Locally, the band displays a honeycomb texture. Historical estimates produced assays of 43.2 grams per tonne gold with a range between 12.3 and 61.7 grams per tonne gold over 0.1 metre. In 1987, Mikado Resources Limited reported results from chip samples that assayed historical estimates of 11.66, 34.01, 3.12, 5.18 and 9.50 grams per tonne gold over widths of 0.91 to 1.52 metres. From , Roper Resources Limited conducted an exploration program consisting of sampling, trenching and diamond drilling. Historical estimates from Roper Resources Ltd. quoted an indicated resource of 26,463 tonnes grading 40.8 grams per tonne gold. David Amar, Steve Butrenchuk P. Geo. P. 7 Grade: Greenschist Inventory Ore Zone: Category: Quantity: MAIN Year: 1988 Indicated Report On: No 26,463 tonnes NI : Not Applicable Commodity Grade Silver grams per tonne Gold grams per tonne Copper per cent Reference: Roper Resources Limited, George Cross News Letter, December 14, 1988 Capsule Geology The Red Elephant vein is at an elevation of approximately 1360 metres on the north side of Hall Creek, a northeasterly flowing tributary of Duncan River. The showing is to the north and east and at lower elevation than the Bannockburn [082KNW051] and Sheila [082KNW052] properties. In the late 1950s, the Red Elephant occurrence was called the "Bannockburn". In the early 1900s, an adit was driven for 16.8 metres in a northwest direction into loose, decomposed, rusty-coloured schist. The tunnel was then split into three drifts for a total length of approximately 46 metres. In 1927, the then owners bonded the property to J. Morris and Associates of Spokane, who sunk a 21.3 metres deep shaft and developed about 68.6 metres of crosscut and drift. In 1929, the property was owned by H. McKay and W.J. Power. Bannockburn Resources held the claim in 1983 and the company reported a new discovery, comprised of a 1 to 2 metre-wide band of "siliceous oxide material" the following year. In 1987, Mikado Resources Limited and Turner Energy and Resources Limited owned a large swath of country, including the Wagner [082KNW212] and Abbott [082KNW056] properties (which were their primary focus) and the Bannockburn basin showings as part of a major joint venture. A related company, Roper Resources Incorporated optioned the complete land package and, in 1988, undertook a small exploration and sampling programme. Two years later, it conducted a limited diamond drill programme. The Trout Lake area is underlain by a thick succession of sedimentary and volcanic rocks of the Badshot Formation and Lardeau Group near the northern end of the Kootenay arc, an arcuate, north to northwest trending belt of Paleozoic and Mesozoic strata that is now classified as a distinct, pericratonic, terrane. The arc rocks are bordered by Precambrian quartzite in the east and they young to the west, where they are bounded by Jurassic-age intrusive complexes. They were deformed during the Antler orogeny in Devonian-Mississippian time and were refolded and faulted during the Columbian orogeny, in the Middle Jurassic. A large panel, the "Selkirk allochthon", was later offset to the northeast by dip-slip motion along the Columbia River Fault. The Badshot Formation is composed of a thick Cambrian limestone that is a distinctive marker horizon in the Trout Lake area. It is underlain by Hamill Group quartzite and it is overlain by a younger assemblage of limestone, calcareous, graphitic and siliceous argillite and siltstone, sandstone, quartzite and conglomerate, and also mafic volcanic flows, tuffs and breccias, all of which belong to the Lardeau Group. The rocks are isoclinally folded and intensely deformed, but only weakly metamorphosed. They occur as intercalated beds of marble, quartzite and grey, green and black phyllite and schist. Fyles and Eastwood (EMPR BULL 45) subdivided the group into six formations (Index, Triune, Ajax, Sharon Creek, Jowett and Broadview) of which the lowermost (Index) and uppermost (Broadview) are the most widespread. The Triune (siliceous argillite), Ajax (quartzite) and Sharon Creek (siliceous argillite) are restricted to the Trout Lake area. The Jowett is a mafic volcanic unit. The Red Elephant area is underlain by siliceous schist, phyllite and quartzite of the Marsh Adams formation, the uppermost unit of the Hamill group. The rocks are in the immediate footwall of the Badshot limestone and they are isoclinally folded and schistose. They strike to the northwest and dip steeply to the southwest. The Red Elephant adit was driven in a northwest direction into loose, decomposed, rusty-coloured, schist and was then split into three drifts a short distance to the east of the so-called "lime-dyke". The workings were made to evaluate spotty high-grade gold assays encountered in a poorly defined, weakly discordant, quartz vein in an altered and highly pyritic band of schist adjacent to the limestone. The contact strikes 015 and dips at 85 degrees to the west. The vein is discontinuous and locally appears as "bunches" of quartz. It is also slightly discordant. It follows the bedding of contorted schists where they are sheared against massive limestone but generally trends slightly east of north. A sample from the middle drift, collected in 1907, gave only a trace of gold and silver, while one from the left hand drift contained "$2.40 in gold/ton" and some copper. The highest gold values were found near the portal. On surface, the vein is highly oxidized and limonitic and much of the pyrite has leached out leaving decomposed quartz with cast outlines of pyrite cubes. A sample of partially decomposed, silicified schist and honey-combed quartz exposed in an open cut near the portal assayed 42.5 grams per tonne gold. The depth of oxidation is unknown. In 1927, it was found to extend for at MINFILE Number: 082KNW053 Page 2 of 3 7

8 least 21 metres to the base of the shaft. In 1984, Bannockburn Resources Limited reported a new discovery, comprised of a 1 to 2 metre-wide band of "siliceous oxide material" which has been traced on strike for 130 metres. Locally, the band displays a honeycomb texture. It has produced assays of up to 43.2 grams per tonne gold. The band is subparallel to, and approximately 100 metres south of, the main vein. At that time, it was reported to have produced assays of between 12.3 and 61.7 grams per tonne gold over 0.1 metre. In 1987, Mikado Resources Limited reported results for the "new " (?) zone on the Red Elephant property. It evidently yielded chip samples that assayed 11.66, 34.01, 3.12, 5.18 and 9.50 grams per tonne gold over widths of 0.91 to 1.52 metres. The following year, Roper Resources Limited quoted an indicated resource of 26,463 tonnes grading 40.8 grams per tonne gold, 36.3 grams per tonne silver and 0.93 per cent copper (George Cross News Letter 14/12/88). In 1989, the company reported a trench sample that assayed 20.6 grams per tonne gold and 3.3 per cent copper over 1.5 metres. The following year, it described encountering massive pyrite-pyrrhotite and stringers of chalcopyrite in drill core. Gold values were reported to be low (Information Circulars, 1989, 1990). 9 Projected Timeline* Google Earth Satellite Image of the King Midas and North Fork gold and silver properties The North Fork occurrence is located north of the Zeballos gold camp, an area underlain by Lower Jurassic Bonanza Group basaltic to rhyolitic volcanic rocks. The Eocene Zeballos stock, a quartz diorite phase of the Catface Intrusions, is spatially related to gold quartz veining in the area. The North Fork occurrence consists of a 2.5 to 14 centimetre lensy quartz vein that follows a 010 degree striking, vertically dipping 15 to 25 centimetres wide shear zone. The vein has been traced over 100 metres and is thought to be an extension of the King Midas Trial vein. Historical values from samples taken over 10 centimetres, 4 metres from the face of the Main adit returned values of up to grams per tonne gold. The King Midas No. 1 Vein occurrence is located within the Zeballos gold camp, 140 metres south of Fault Creek, 3.0 metres above the Zeballos River level. The Number 1 Vein has been traced for 80 metres. It strikes 354 degrees, dips vertically, and consists of lenses of quartz following a somewhat wider shear zone. Locally, the vein splays into several parallel stringers 30 to 40 centimetres apart. Historical grades from samples carrying about 50 percent quartz, sphalerite, pyrite and some chalcopyrite, galena and pyrrhotite, assayed up to grams per tonne gold. In 1940, one tonne of high grade ore produced 156 grams of gold and 10 kilograms of copper. The Zeballos intrusion of the Late Jurassic Island Plutonic Suite lies 2.5 kilometres to the west. The Eocene South Zeballos pluton of the Catface Intrusions lies 2.5 kilometres to the south. The first vein lies in Fault Creek and is described by Stevenson (Bulletin 27, page 33). It has been traced for 8 metres along a 303 degree strike. The vein dips 46 degrees north, is 10 centimetres wide and occurs in sheared andesite on the hangingwall side of a major fault near a feldspar porphyry dyke. The quartz vein hosts pyrite, pyrrhotite and chalcopyrite. The second vein (the "Eastern Vein" of Bulletin 27) has been explored by two adits from the 469 and 536 metre levels. The vein strikes 355 degrees and dips 90 to 55 degrees east and is 2.5 to 20 centimetres wide. It follows a 13 to 30 centimetre wide rusty shear zone, and hosts pyrite, occasional patches of chalcopyrite and minor amounts of sphalerite and galena in quartz gangue. In the lower adit the vein is hosted by andesite for 18 metres, then follows a quartz porphyry dyke for 26 metres before following another shear zone to the face of the adit. The same vein in the upper adit is 2.5 to 7.5 centimetres wide within a 2.5 to 20 centimetre wide shear zone. A sample of "heavy pyrite taken from the vein" in the creek bed 4.5 metres above the lower adit portal assayed grams per tonne gold and grams per tonne silver. Three samples taken across 20 centimetres of the vein assayed trace to grams per tonne gold and 3.4 grams per tonne silver (Bulletin 27, page 119). The Third vein (the "Western vein" of Bulletin 27, page 119) as examined in trenches at an elevation of 442 metres and 46 metres above Fault Creek consists of a 2.5 to 7.5 centimetre wide quartz stringer. The vein occasionally splits into several stringers along a 030 degree strike. The shear zone containing the vein dips 70 degrees east and is 2.5 to 13 centimetres wide. Three samples from the vein assayed from trace to grams per tonne gold (Bulletin 27, page 119). 27 Ottawa Silver - BC Mineral Tenure # The property is developed on nine levels, 5 of which are serviced by adits driven at vertical intervals of about 30 metres. These workings explore a broad shear/breccia zone in coarse grained, porphyritic Nelson quartz monzonite cut by felsite and lamprophyre dikes. The zone trends nearly north and dips easterly from 25 to 45 degrees. The zone comprises two rather well-defined lodes known as the West or Noble and East or Ottawa veins, respectively. Mining at the surface and underground indicates that these lodes are not exactly parallel, but approach each other towards the south and may join. On the No. 5 level the lodes are about 10 metres apart. Most of the work has been done on the East lode that is 0.6 to 6 metres wide, composed of crushed and broken granite, gouge and vein material - the latter having been stoped in places across a width of as much as 2.4 metres. The West lode is as much as 15 metres wide in places and it is reported to have produced some good ore in the uppermost workings. On No. 8 level, the stoped vein on the West lode, strikes 025 to 040 degrees and dips 20 degrees southeast. The vein is up to 0.3 metres wide - bounded by a sharply defined gouge-filled slip along the footwall and an irregular hanging wall. The East lode on the No. 8 level is strong and composed of about 1 metre of gouge and beccia cemented by quartz. It strikes 170 degrees and dips 30 to 40 degrees east. Total recorded production between 1903 and 1984 amounts to a historical inventory of 26,476 tonnes mined, yielding historical production of 55,940,682 grams of silver, 982 grams of gold, 360,085 kilograms of lead, 12,774 kilograms of zinc and 793 kilograms of copper. Access to the mine site is from the Slocan highway via the Springer Creek road. The history of the Ottawa mine dates back to 1896 when the Ottawa claim (Lot 4968) was located, however, it was not until 1902 that major development work by a Pittsburg syndicate was attempted. By 1904 the property was developed by 1067 metres of tunnel on 4 levels. It was operated intermittently by the owners until 1908 and then by leasers until In 1913 the group of over 20 claims was acquired by the Consolidated Mining & Smelting Co. Ltd. and extensive development work was carried on until 1918 when the mine was closed and the equipment removed. The workings at this time consisted of 5 adits at vertical intervals of 30.4 metres and a 6th level driven from a shaft. In 1920 a 50-ton per day mill was constructed. Leasers continued to operate the mine until In 1935 the group, consisting of 31 claims, was acquired by the Ottawa Silver Mining & Milling syndicate of Spokane, who, in 1937, built a 100- ton per day flotation plant which burned shortly after. They drove an 8th level as a crosscut for 366 metres and then drifted on the vein. Leasers worked the property intermittently from 1941 to An option on the property was given to Violamac Mines (B.C.) Ltd. in The following year Harrison Drilling and Exploration Co. Ltd. of Vancouver held operating control under an agreement with Violamac Mines. Harrison Drilling and Exploration Co. Ltd. was reorganized in 1953 under the name of Hardex Mines Ltd. and a diamond drilling program was carried out. In 1956 the owners resumed operations. An option on the property was given to the Yukon Western Mining & Prospecting Co. Ltd. of Slocan City in In 1960 the name of this company was changed to Skylane Mines Ltd. Most of the work done at this time was confined to stoping in the West vein on No. 8 level. In 1960 Ottawa Silver Mines Ltd. bought the option from Skylane Vines Ltd. Later in the year an option was given to the Silver Buckle Mining Co. of Wallace, Idaho. This option was dropped in December after a geological examination of the property had been made. A 9th level was started at this time. In 1962 a ventilation raise was driven from No. 8 level to No. 6 level, a distance of approximately 143 metres, following the dip of the vein. In driving the raise, several lenses of very high-grade ore were opened up and subsequently stoped out. The No. 9 level drift was extended to a length of 152 metres. During 1963 and 1964 exploration and development work was carried out on No. 9 level. A 75-ton mill was built in 1963 and put into part time operation in In 1963 the company was reorganized under the name Slocan Ottawa Mines Ltd. In 1980 the mine was owned by the Slocan Development Corporation Limited and leased to C. Thickett and Memphis Mines Ltd. between 1976 and Total recorded production between 1903 and 1984 amounts to 26,476 tonnes mined, yielding 55,940,682 grams of silver, 982 grams of gold, 360,085 kilograms of lead, 12,774 kilograms of zinc and 793 kilograms of copper. 31 Enterprise Enterprise Silver - BC Mineral Tenure # The Enterprise mine is second only to the Ottawa mine in the quantity and total value of ore produced in the Slocan City mining camp. The mine is on the south side of the valley near the confluence of Enterprise and Neepawa creeks, 11 kilometres northeast of Slocan. Access to the mine from the Slocan highway is via the Enterprise Creek road. The main vein was discovered in 1894 and mined by Enterprise (B.C.) Mines Co. Ltd. until 1901 and then by lessees. In 1928 the property was purchased by Yankee Girl Consolidated Mines Ltd. which was obliged to close operations in From 1941 to 1943, the property was leased, during which time the mine tailings and dump were re-worked. In 1944 Western Exploration Co. Ltd. purchased the property and operated it until Subsequently, until 1977, there has been intermittent production from a number of mining and salvage operations. Production from the property began in 1896 and records show that 11,067 tonnes of ore was mined by 1977 yielding 32,676,718 grams of silver, 1674 tonnes of lead, 1068 tonnes of zinc, 2041 grams of gold, 445 kilograms of cadmium and 149 kilograms of copper. The Enterprise lode has been developed by nine adits, several intermediate levels and two shafts. One shaft was sunk on the lode about 15 metres above and 90 metres southwest of the uppermost adit, and the other shaft from a point about 10 metres below and a short distance northeast of the lowest adit - the difference in elevation between the collar of the upper shaft and the bottom of the lower shaft being about 335 metres. The property consists of the Enterprise (Lot 1014), Slocan Queen, Rainbow, Iron Horse, Sunset, Millsite, Montezuma and Sunrise Crown granted claims and fractions. Production from the property began in 1896 and 11,067 tonnes of ore were mined by 1977 yielding 32,676,718 grams of silver, 1674 tonnes of lead, 1068 tonnes of zinc, 2041 grams of gold, 445 kilograms of cadmium and 149 kilograms of copper. The rock underlying the property is a light coloured, coarse-grained porphyritic granite of the Nelson batholith. More basic phases of the batholith, found locally in the mine workings, form irregular bodies of varying size that appear to be either digested inclusions or differentiates of the granitic magma. The Nelson rocks are intruded by a few small, hornblende porphyry and olivine-pyroxene lamprophyre dikes. Some of these dikes cut across the Enterprise lode whereas others are pre-mineral and disrupted by the same faults that cut the vein. The main vein, averaging less than 0.3 metre wide, is continuous for more than 600 metres, striking 050 degrees, dipping 60 to 85 degrees southeast. On the upper levels of the mine, the vein is filled with varying proportions of quartz and ore minerals, especially galena and tetrahedrite. On the lower levels, siderite and other carbonate gangue minerals are more abundant than quartz and sphalerite is the predominant ore mineral. Most of the silver is believed to be contained in tetrahedrite and ruby silver. The vein is interrupted by a major fault, or fault zone, and several minor faults and slips. The major fault intercepts the vein nearly at right angles about midway between the two shafts. The zone of faulting is 6 to 9 metres wide, strikes 160 degrees and dips 90 to 75 degrees northeast. The apparent displacement of the vein is about 30 metres to the left. Aside from the extensive developments on the main Enterprise lode, some work has been done on a second lode outcropping 115 metres to the west. In 1927, it had been drifted on for about 45 metres. It is a wide shear zone composed mostly of crushed granitic rock partly cemented by quartz gangue with some calcite. It strikes 040 degrees and dips 70 southeast. In character and width, this lode bears some resemblance to a vein at the Arlington mine (082FNW152) which may be on part of a continuous structure. It seems that both lodes at the Enterprise mine and those on adjoining properties are within a single, wide zone of fissuring, shearing and brecciation, and that to the southwest this zone passes through the Arlington, Speculator (082FNW151) and intervening properties. 34 The showings were discovered and staked by R. Kirkwood of New Denver and J. McKinnon of Revelstoke in The property was optioned to J.A. Finch in 1895 and development work was carried out in several adits. The Enterprise (Lot 1014) and Slocan Queen (Lot 1015) were Crown-granted to J.A. Finch in Additional claims were subsequently Crown-granted, including the Enterprise Fr. (Lot 4522), Montezuma (Lot 5405), Iron Horse No. 2 (Lot 5663), and Sunset, Sunrise and Rainbow Fractions (Lots ). The London and British Columbia Goldfields, Limited acquired the property and incorporated The Enterprise (British Columbia) Mines, Limited as operator in about A 50 ton-per-day gravity mill was installed, and apparently operated for a period in 1902 with unsatisfactory results. The company ceased operations and lessees worked the property intermittently from 1903 into Further work was carried out from 1924 until 1927 by Messrs. Pilcher, McGuire, and Wragge under an option agreement. The property was acquired by Stobie, Forlong & Company, of Toronto, who incorporated Enterprise Consolidated Mining Company, Limited in February 1928; the company name was changed in September 1928 to Yankee Girl Consolidated Mines, Limited. Development work, mainly on No. 7 level, continued until June 1929 when a fire destroyed equipment housed in the old mill building and operations ceased. No further activity was reported until 1941 when S.N. Ross leased the property and installed a small flotation mill to treat dump material on a seasonal basis. Western Exploration Company, Limited purchased the property in 1944 and disposed of the mill. Development work during 1945 to 1950 was carried out mainly between Nos. 5 and 8 levels. The No. 9 level was driven from the Iron Horse shaft in The company ceased operations in November At that time the workings comprised an estimated 3658 metres of drifts, crosscuts, raises and two shafts about 670 metres apart horizontally. Eight adits and several intermediate levels were driven. The lowest level (No. 9) was driven from the 18.2 metre level of the Iron Horse shaft, which was sunk on an incline to a depth of 96 metres. The mine was reopened in 1967 by J. Gates, and R.J. Forgie, who purchased the property from Western Exploration. In May 1968 Enterprise Silver Mines Ltd. was incorporated to operate the mine; some ore was shipped during the year. Lessees worked the property during The property was held by Enterprise Resources Inc. in Arctex Engineering Ltd. carried out exploration since 1983; diamond drilling was done in 1986 and During 2000 through 2011, Arctex, on the behalf of L.B. Goldsmith completed a programs of geochemical sampling of the former dumps. 36 The Red and The Fir The Red Silver - BC Mineral Tenure # The property is located on the north side of Little Lichen Mountain, approximately 21.5 kilometres north of the community of Scotch Creek. The area is underlain by sediments and volcanics of the Eagle Bay Formation of Devonian-Mississippian age. The dominant structural trend in the area is 060 degrees with moderate (25-30 degree) dips to the northwest. Phyllitic sediments intercalated with dolomitized and silicified carbonates are overlain by a highly pyritic chlorite schist. Separating the two units is a thin (0.5 metre) conform- able calc-silicate alteration zone. Cutting the phyllitic sediments is a 6 by 9 metre, north- trending, quartz stockwork containing disseminations and irregular pods of galena, sphalerite and pyrite. The stockwork has a sooty black exposed surface. Historical grades from a 1.7 metre chip sample assayed 700 grams per tonne silver, 10.4 per cent lead, 3.53 per cent zinc and 0.6 gram per tonne gold (Bachelor, 1984). In 1988, an assay from a 1.5 metre chip sample returned 0.31 gram per tonne gold, 1,498.4 grams per tonne silver, per cent lead and 5.30 per cent zinc (EMPR Property File - Kane, C.C. ( ): Report on Proposition for Silver Lichen claims). In 1991, two drill holes, totalling metres, were completed to test the down dip stratigraphy. No values were reported. The Fir Silver - BC Mineral Tenure # The property is underlain by sediments and volcanics of the Cambrian to Ordovician Eagle Bay Formation, consisting of limestones, schists and tuffs. Mineralized quartz veins, trending southeast, occur within the volcanics and limestones. The veins carry galena and tetra- hedrite. A 5.0 centimetre wide vein returned an assay of per cent lead and 2976 grams per tonne silver and a 46 centimetre wide vein ran historical estimates of 4.92 per cent lead and 429 grams per tonne silver.
