WTNESSED: WHEREAS, Developer s the legal owner of the real estate descrbed on the attached Exhbt" A", whch s ncorporated heren by ths reference and desres to establsh and develop such property accordng to the provsons of Artcle XX of the Cty Zonng Ordnances for the development of the Grante Falls Commercal; WHEREAS, Developer desres to establsh and develop such Property accordng to the provsons of Artcle XX of the Cty Zonng Ordnances for the development of the Grante Falls Commercal herenafter the" Project"); WHEREAS, n accordance wth the requrements of the Cty Code, Developer has presented a ste plan attached hereto as Exhbt" B" and ncorporated heren by ths reference( herenafter the" Development Plan"); WHEREAS, Cty, n the nterest of mantanng the publc health, safety and welfare, desres to assure that the Project s developed substantally n accordance wth the Development Plan and therefore consders ths Agreement to be n the best nterests of the Cty; WHEREAS, Developer s wllng to commt tself to the development of the Project substantally n accordance wth the Development Plan and desres to have a reasonable amount of flexblty to carry out the Project and therefore consders ths Agreement to be n ts best nterests; and WHEREAS, the Cty and Developer desre to set forth n ths Agreement ther respectve understandngs and agreements wth regard to the Project. NOW, THEREFORE, n consderaton of the mutual covenants and agreements heren contaned, the partes agree as follows: Secton 1 Defntons For the purposes of ths Agreement the defntons n the Papllon Muncpal Code, shall apply. n addton, " ste mprovemeny' shall mean any buldng, parkng, landscapng, sgnage, fencng, or other regulated structures.

2 f * Secton 2 Development Plan A. Except as otherwse permtted n ths Agreement, the Project sha!! be developed n accordance wth the Cty of Papllon Comprehensve Plan, and the Cty of Papllon Zonng and Subdvson regulatons, the terms and condtons of ths Agreement, the Development Plan, and the specfc desgn crtera, ncludng elevatons( the" Desgn Crtera"), whch s attached hereto as Exhbt" C and by ths reference ncorporated heren B. t s ntended that ths Development Plan be a general schematc of the development ndcatng the manner n whch the Developer ntends to meet the requrements of ths Agreement. All partes recognze that from tme to tme for good and suffcent reasons t may be necessary for the Developer to alter the sze, locaton, use or type of the buldngs or other ste mprovements. C. Developer reserves the rght to modfy the Development Plan by mnor amendment provded that such modfcatons conform to the provsons of Secton of the Papllon Muncpal Code. All changes relatng to waver or reducton of regulatory standards or Permtted Uses shall be consdered major amendments to be revewed by the Plannng Commsson and approved by the Cty Councl. All other changes shall be consdered mnor. The Cty Admnstratve Offcal s authorzed at hs/ her dscreton to approve amendments to ths Agreement; provded that: 1. A wrtten request s fled wth the Plannng Drector, along wth nformaton specfyng the exact nature of the proposed amendment; 2. The amendment s consstent wth the provsons of Papllon Cty Code Secton ; and 3. The amendment does not alter the approved ste regulatons of the Development Plan or ths Agreement and does not materally alter other aspects of the Development Plan, ncludng traffc crculaton, mxture of use types and physcal desgn. D. n the event there s a conflct between the dmensons shown on the Development Plan and the regulatory terms of ths Agreement relatng to ste development, parkng, landscapng or sgnage regulatons, the more restrctve standard shall apply, unless such dscrepancy s specfcally agreed to n ths Agreement or the Exhbts attached hereta Secton 3 nstallaton of Publc and Prvate mprovements A. Developer agrees to commence the tmely and orderly nstallaton of the publc mprovements followng executon of ths Agreement pursuant to approprate provsons of the Cty of Papllon Code. The nstallaton of such publc mprovements may occur concurrently wth prvate mprovements on the ste, but the ste specfc prvate mprovements for each lot wthn the subdvson shall be completed pror to an occupancy certfcate beng ssued for such lot unless otherwse provded by the terms of ths Agreement, pursuant to Development Plan. B. Pror to the commencement of the constructon of the publc mprovements Developer shalt submt to the Publc Works Department plans and specfcatons for such mprovements, adequate lablty nsurance and ndemnty n favor of the Cty, and adequate materal and labor bonds. All plans shall be prepared by an approved lcensed professonal engneer and shall be subject to revew and approval by the Publc Works Drector.

3 r Secton 4 Permtted Uses Lots 1-17 shall be developed and used n accordance wth the applcable permtted uses set forth n Exhbt D" attached hereto and ncorporated heren. Secton 5 Ste Development Regulatons A. Except as otherwse permtted n ths Agreement, the Project shall be developed n accordance wth the applcable ste development regulatons of the General Commercal ( GC) Dstrct and MU Mxed Use Overlay Dstrct except as modfed by the terms of ths Agreement, ncludng the exhbts hereto. B. As long as the ste development regulatons are not volated, Developer may alter the locaton, physcal shape or exteror dmensons of any structure shown on the Development Plan, wthn the, boundares of any platted lot subject to the followng lmtatons: 1. The changes shall be consstent wth the Desgn Crtera establshed for the area. 2. Any changes determned by the Plannng Drector to be nconsstent wth the desgn crtera shall be consdered a major amendment to ths Agreement and wll requre revew by the Plannng Commsson and approval by the Cty Councl. C. n addton to the above ste development regulatons, the provsons of the Papllon Comprehensve Plan and Papllon Zonng Code relatng to mxed use development areas, as amended or adopted from tme to tme, shall also apply. D. So long as the ste development regulatons or desgn crtera are not volated ( except for any sde yard set-back or landscape bufferng requrements whch may be modfed n the event of a lot revson, combnaton or dvson), Developer may reduce or ncrease the number of lots as shown on the Plan by revsng lot lnes, combnng, or dvdng lots. 1. The Cty may, by admnstratve subdvson, grant any such revsons, combnatons or dvsons as necessary to carry out the Development Plan, subject to approval of Cty Plannng Drector. 2. An applcaton for an admnstratve subdvson to make such changes shall ncfude as an attachment a revson to the Development Plan and Desgn Crtera. Secton 6 Parkng A. Parkng for the Project shatl be n accordance wth the Development Plan. B. As long as the parkng desgn standard regulatons are not volated, Developer may alter the locaton, physcal shape or exteror dmensons of any parkng area shown on the Development Plan, wthn the boundares of any platted lot. Secton 7 Landscapng and Screenng A. Landscapng for the Project shall be n accordance wth the Landscape Plan ( Exhbt " B"), attached hereto and made a part hereof. Mnor modfcatons may be made consstent wth the standards establshed n the Development Plan wthout pror approval of the Plannng Drector. B. The development n ts entrety shall not exceed an mpervous coverage of 90( 90%) percent.

4 r. Secton 8 Sdewalks and Pedestran Features A. All sdewaks, handcap accessble ramps, and crosswalks shall be desgned and constructed n accordance wth PROWAG. An nternal sdewalk system shall be provded that connects to the permeter sdewalks shown on Exhbt" B". Secton 9 Sgnage A. Sgnage for the project shall be n accordance wth Artcle XXXV of the Cty of Papllon Zonng Ordnance, except as modfed by the Desgn Crtera ( Exhbt " C") attached hereto and made a part hereof. Mnor modfcatons may be made by the Developer consstent wth the standards establshed n the Development Plan wthout pror approval. The sgnage shall meet the mnmum requrements of the Papllon Cty Code for the Communty Commercal zonng dstrct except as modfed by ths Agreement, ncludng the exhbts hereto. B. The Project may have no more than two( 2) center and multple-tenant dentfcaton sgns ( herenafter the" Project Monument Sgns"); one ( 1) along 114 h Street and one( 1) along Wttmus Drve, dentfed n Exhbt " B", whch shall be ncluded n the total sgn budget. Sprt banners throughout the development are permtted. C. Subject to Sectons A and B above, all other sgnage wll be lmted to wall sgns or projectng sgns, or monument sgns, all as defned n the Cty of Papllon Code. D. The sgn budget for the Project s 8,400 SF, plus an addtonal 600 SF for center dentfcaton sgns, as depcted on Exhbt" E" attached hereto. Drectonal and nformaton sgns not exceedng four( 4) square feet per sgn wthout advertsng nformaton and located wthn or adjacent to parkng lots, parkng structures and outlots are exempt from the sgn budget. The permtted sgn area for each lot s based on the frontage of each lot n relatonshp to the total net street frontage n the development. The owner of each lot may allocate ts pro- rata share of ths sgn budget for each lot between and among the varous permtted sgn types and between and among the separate buldng structures located or to be located on each lot. E. Allocated sgn budget amounts may be transferred between lots on a square foot to square foot bass when an amended Exhbt" E" s fled wth the Plannng Department specfyng the ncrease or decrease n budget for each lot. F. All sgns wll be nstalled subject to a sgn permt from the Cty of Papllon. Unless provded for n ths Agreement, all other provsons and regulatons governng sgns n effect at the tme of applcaton for a sgn permt shall apply. G. The desgn for the Project Center ldentfcaton Sgns s shown on Exhbt " F" attached hereto and ncorporated heren by ths reference. Secton 10 Mscellaneous Provsons A. Admnstraton. The Cty Admnstrator of the Cty of Papllon or hs or her desgnee, shall have the authorty to admnster ths Agreement on behalf of the Cty and to exercse dscreton wth respect to those matters contaned heren so lon 9 as the developrnent proceeds n general accord wth the Development Plan and wth regard to those matters not fully determned at the date of ths Agreement. The provsons of ths Agreement shall run wth the land n favor of and for the beneft of the Cty and shall be bndng upon present and all successor owners of the real estate descrbed n the attached Exhbt" A".

5 r B. Nondscrmnaton. Developer shall not, n the performance of ths contract, dscrmnate or permt dscrmnaton n volaton of federal or state laws or local ordnances because of race, color, sex, age, poltcal or relgous opnons, afflatons, or natonal orgn. C. Applcable Law. All partes to ths Agreement shall comply wth all exstng and applcable Cty ordnances, resolutons, state and federal laws, and all exstng and applcable rules and regulatons. Nebraska law wll govern the terms and the performance under ths contract. C. Amendments/ nvaldtv. Except as outlned n paragraph C of" Development Plan" above, all major amendments to ths Agreement shall requre the approval of the Cty Councl of the Cty of Papllon and the Developer and/ or ts successors. The provson shall not abrogate any legal remedes avalable to the Cty Councl of the Cty of Papllon or the Cty Admnstrator or Plannng Drector of the Cty of Papllon. f any provson of ths Agreement s held nvald, such provsons shall be deemed to be exercsed therefrom and the nvaldty thereof shall not affect any of the other provsons contaned heren. D. Exhbts. The followng Exhbts are made a part of ths Agreement and have been attached to ths Agreement pror to ts executon. Throughout the project there wll be preserved and desgned open space along wth trals and walks to provde pedestran connectvty not only wthn the development, but to the surroundng communty as well. Grante Falls Commercal wll create a complmentary mx of uses ncludng retal, offce, restaurants and landscaped plazas to provde a place for the communty to work, shop, relax and socalze. Buldng facades not vsble from publc or prvate streets may provde less nterestng desgn. 2, Buldng facades or walls that face a publc or prvate street shall not have a blank, unnterrupted length exceedng seventy-fve( 75) feet wthout at least one( 1) of the followng desgn elements: A change n plane, a change n texture color or masonry pattern, wndows or equvalent element, such as accent materals that subdvde the wall nto human scaled proportons. 3. D. Convenence Store Canopy 1. Desgn. The Convenence Store Canopy must be desgned to be n harmony wth the man store n form, use of materals and colorng. 2. Roof. a) The roof may be ptched, flat or be a combnaton of ptched and flat dependng on the archtectural elements of the man store. b) Ptched roofs shall be between 4: 12 and 8: 12 wth roofng materals that match the man store' s sloped roofng materals. c) An archtectural detal shall be appled to the edge of flat roofed canopes. d) Canopy colorng shall be neutral n appearance and consstent wth the man store. Brght attenton grabbng colors are not permtted. 3. Columns. Masonry consstent wth the man store shall be utlzed, at mnmum, on the bottom eght( 8) feet of canopy columns. 4. All under canopy lghtng shall be recessed to the extent that any lght f ure and lens shall not extend beyond the undersde of the canopy. The fxture, bulb, and lens must be flush or recessed.

16 6. STE ELEMENTS. STE REQUREMENTS A. Publc Sdewalks 1. All publc rghts-of-way and prvate streets shall be provded wth a mnmum fve( 5) foot wde concrete walk per Cty of Papllon standards. All buldngs wthn Grante Falls Commercal Mxed Use Development must have pedestran walkways and publc walks connected to parkng lots and permeter pedestran walkways. B. Bufferng 1. A ten( 10) foat wde landscape buffer shall be provded along the HWY 370 frontage of each pad ste. 2. A thrty( 30) foot buffer shall be provded along the frontage of Cmarron Street. 3. A thrty( 30) foot buffer shall be provded between the commercal uses and Kngbury Hlls Resdental lots. Per Exhbt" B". 4. Plannng Drector may wave or adjust screenng standards found n G and Artcle XXXV of Papllon Cty Code where crcumstances, such as dstance and elevaton change, warrant. C. Street Trees. 1. HWY 370. One tree per 50 lnear feet of rght-of-way shall be planted ' h Street. One tree per 50 lnear feet of rght-of-way shall be planted. 3. Cumberland Drve. A double row of trees per 50 lnear feet of rght- of-way shall be planted on the north sde of Cumberland Drve where possble( see Cumberland Drve Cross Secton A-A). One tree per 50 lnear feet of rght- of-way shall be planted on the south sde of Cumberland Drve( See Cumberland Drve Cross Secton A-A). 4. Plannng Drector may wave or adjust street tree requrements to avod conflcts wth utltes or to protect lnes of sght at street and drveway ntersectons. D. Parkng lots shall be planted per Cty of Papllon requrements. 1. nteror pedestran crosswalks shall be delneated wth decoratve materas, such as brck pavers or stone. E. Plant Materals 1. Plant materals shall meet Cty of Papllon' s materals and sze standards. 2. Landscapng shall be nstalled consstent wth the Landscape Plan( Exhbt" B"}. F. Ste Lghtngs 1. All nteror street lghtng shall be as manufactured by RAB Lghtng as shown on Appendx" C". Other manufactures of equal or greater qualty may be approved. The maxmum heght shall be twenty fve( 25) feet. 2. Decoratve archtectural accent lghtng, landscape lghtng and pedestran lght poles may be located wthn the development. Pedestran lghtng wll be located along 111' h Street and wthn the plaza area and n front of the box retal. RAB Lghtng fxtures wll be used to lght the nner roadways wthn the development. 3. Any lghtng used to llumnate an off-street parkng area, sgn or other structure wll be arranged as to deflect lght away from any adjonng property and from publc streets through fxture type, shelds and optcs. Exposed lenses are not permtted. All lghtng must have recessed lenses. A consstent style of lght fxture s requred throughout the development. The Plannng Drector wll need to approve a style wth the ntal buldng permt appfcaton, after whch all other lots wll be requred to use the same( or ndstngushable) fxture and pole. The maxmum heght shall be thrty 30) ncludng base. 4. Exteror lghtng of buldngs wll be lmted to low level ncandescent spotlghts, floodlghts and smlar llumnatng devces hooded n such a mar ner that the drect beam of any lght source wll not glare upon adjacent property or publc streets. (All ste lghtng shall be screened from adjacent propertes to avod spllage and glare.)

All roof top mechancal unts shall be not less than 80% screened from vew from publc rght-of-way through the use of permanent archtectural screens that are ntegrated wth the overall desgn of the buldng. 1. The screen shall be constructed from the followng: 1. Buldng Materals lsted for the buldng' s project type. 2. Ptched roof elements comprsed of standng seam, concrete tles or" faux" slate shngles. H. Ground level Mechancal Screens. All ground level mechancal unts shall be screened from vew from the publc rghts- of-way. Acceptable materals nclude: 1. Fences n complance wth B( 1). 2. Evergreen landscapng that meets screenng requrements of (2); except that such screen shatl meet a heght of sx( 6') feet wthn one( 1) year of nstallaton. 3. Berms n complance wth B(4). 4. Archtectural screens that are ntegrated wth the overall desgn of the buldng.. Refuse Screenng. All trash or refuse receptacles shall be screened from vew from publc rghts- of-way through the use of trash enclosures that are ntegrated wth the overall desgn of adjacent buldng( s). 1. The enclosure shall be constructed of buldng materals lsted for the buldng' s project type. Wooden and plastc fencng, and chan lnk fencng are not acceptable materals. 2. Enclosures must have gates constructed of a steel frame wth wood or decoratve metal facng. 3. Landscapng should be used to screen trash enclosures, to the extent possble. 4. f the refuse contaner s ntegrated wthn the dock area, then the dock screenng shall be suffcent. J. Dock Screenng. Afl loadng docks shall be screened from the vew from publc rghts- ofway through the use of one of the followng: 1. Archtectural screens that are ntegrated wth the overall desgn of the buldng. a) The screen shall be constructed from the buldng materals lsted for the buldng' s project. 2. Landscape screen of a densty to screen eghty( 80%) percent of the dock area from the vew wthn three( 3) years of plantng. Vew shall be eghty( 80%) percent screened all twelve( 12) months of the year K. Outdoor Storage. All outdoor storage wthn the Grante Falls Commercal Mxed Use Development s prohbted. For the purposes of ths agreement, temporary outdoor sales are no4 consdered outdoor storage. L. Outdoor Dsplay/ Sales. No permanent outdoor dsplays/ sales are permtted. Exceptons for seasonal events such as plant/flower sales wth desgn crtera for dsplays may be approved by the Plannng Drector. M. Parkng. As ndcated on the ste plan. N. Outdoor ntercom. Outdoor ntercoms or pagng systems are not allowed wthn the Grante Falls Commercal Mxed Use Development wth the excepton that one on one communcatons systems are allowed for permtted fast food restaurants and Muzak type sound systems. O. Ste Furnshngs. Ste Furnshngs shall be manufactured as specfed heren and shown on Appendx" C". The Plannng Drector may admnstratvely approve alternate ste

19 7. SGNAGE. SGN REQUREMENTS A. Sgnage requrements specfc to the Grante Falls Commercal Mxed Use Development are as follows: 1. Sgn materals shall be consstent wth the overall desgn of the buldngs. 2. Monument sgns, nstead of sngle pole sgns, shall be used for all lots n development, except for vehcular and pedestran drectonal/way fndng sgnage. 3. A sgn budget s attached as Exhbt" E" n the Mxed Use Development Agreement. B. General Sgnage Desgn Crtera 1. Project and retal sgnage and paramount n developng the overall desgn qualty and character of Grante Falls Commercal Mxed Use Development. Followng are gudelnes that wll be followed to ensure a pedestran frendly and nvtng atmosphere. C. Number of Sgns 1. Sgnage s lmted n number as dscussed n more detal wthn each respectve secton of ths agreement. 2. Secondary sgnage s permtted n the wndow facng the street when the prmary sgn cannot be vewed by pedestrans because of awnngs or overhangs. 3. Servce doors to tenant areas throughout the project shall have a standard dent caton ( tenant name and sute number only). A 4" black Aral font dentfcaton only. Ths sgnage shall be desgned and nstalled by the tenant. D. Content on Sgns: 1. Sgnage shall be lmted to trade names, Tenant use or other sgnage relatve to Tenant' s brandng strategy or logo. Cty of Papllon Plannng Drector shall have the ablty to approve varatons n sgnage content based on consstency wth the objectves of ths Development Agreement. E. Mountng of Sgns: 1. Sgns attached to buldngs shall be ntegral wth the storefronts. No exteror sgn or sgn panel wll be permtted to extend above any roof lne. 2. All sgn bolts, fastenngs and clps shall be hot- dpped galvanzed ron, stanless steel, alumnum, brass or bronze. They should be concealed, f possble. Threaded rods or anchor bolts shall be used to mount sgn letters, whch are spaced out from the buldng face. Angle clps attached to letter sdes wll not be permtted. All mountng attachments shall be sleeved, panted and concealed. 3. All metal letters shall be fabrcated usng full- welded constructon, wth all welds not vsble. 4. All sgnage shall be pn mounted on the buldng fa ade. Halo llumnated sgnage shall be pn mounted a mnmum of 1-1/ 2" from buldng fa ade. Drect or nternally llumnated sgnage shall be pn mounted a mnmum of'/" and maxmum of 1" from buldng face. 5. Tenants are requred to provde a concealed access panel from wthn the Tenant' s leasable area to servce and nstall exteror buldng sgnage. Transformers to be concealed and accessed from tenant space wherever possble. 6. Raceways may be approved by the Plannng Drector n leu of pn mountng f the raceways are recessed or shallow and panted to match the buldng exteror. Raceways are dscouraged on textured buldng materals such as stone or decoratve masonry. F. Lghtng and Sgns: 1. Sgn llumnaton shall be nternal and self-contaned or drectly llumnated wth decoratve gooseneck type fxture.

Pre- manufactured sgns, such as franchse sgns, that do not meet the crtera of ths agreement. 9. Box sgns on buldngs and tenant monument sgns. H. Facade Sgnage 1. Facade sgns are ntended for mmedate recognton of the Tenant' s premses by the publc. t s recommended that the sgnage be desgned for day and nght-tme vsblty. a) Sgns are mounted on the fa ade of the store. b) Sgns shall consst of ndvdually mounted, nternally llumnated or ha(o lt tetters. Exceptons may be approved by the Plannng Drector for alternatve sgn desgns that are consstent wth the objectves of ths Agreement. c) Attached sgns shall not exceed 150 SF and 25% of street facade.. Facade- Mounted Blade 1. The Tenant may erect one blade sgn at the fa ade of the premses. Tenants at corner locatons are permtted to nstall a sgn at each face of the buldng. a) FaCade-mounted blade sgns are ntended to be fxed to the fa ade of the buldng and must have a mnmum heght above the sdewalk to the bottom of sgn of 8'- 0". b) Though they are referred to as blade sgns, ther projecton may occur as spheres, boxes, cylnders or any other combnaton of 3- dmesonal objects and shapes. They must be doubte sded. J. Awnng Desgn Crtera 1. Tenants may provde awnngs at ther storefronts. Awnngs are generally fabrc, metal or glass. a) Mnmum heght from sdewalk to bottom of awnng s 8'- 0". b) Awnngs may not be supported from the sdewalk. The Tenant s responsble for structural stablty of the awnngs, and must ensure that storefronts, transoms and other fxngs are requred. c) Under sde lghtng that creates an awnng glow effect s prohbted. K. Temporary/ Promotonal Sgnage 1. No temporary or promotonal sgnage can be taped n the wndows. 2. Temporary menu boards for outdoor courtyards or a sdewalk cafe are allowable wth the approval of the Landlord. Temporary menu boards must not obstruct pedestran movement on publc walks. They must be removed durng non- busness hours. L. Project Center ldentfcaton Sgns 1. Project Center ldentfcaton Sgns are lmted to two( 2) monument sgns. 2.
