1 Infrastructure Funding Agreement (IFA) For the Period July 1, 2017, through June 30, 2018 Central Oklahoma Workforce Area 1. Preamble This Agreement is an addendum to the Memorandum of Understanding (MOU) that has been established between the Central Oklahoma Workforce Innovation Board and its one-stop partners. 2. Purpose The purpose of the Agreement is to comply with Section 121(c)(2) of the Workforce Innovation and Opportunity Act (WIOA), which requires that: Each memorandum of understanding shall contain (A) provisions describing (i) the services to be provided through the one-stop delivery system ; (ii) how the costs of such services and the operating costs of such system will be funded, including 3. Parties to the IFA The parties to this IFA are: (II) funding of the infrastructure costs of one-stop centers in accordance with subsection (h). The Central Oklahoma Workforce Innovation Board (COWIB); and The COWIB s required one-stop partners, including: AARP Senior Employment Foundation, Absentee Shawnee Tribe, Association of South Central Oklahoma Governments (ASCOG) SCSEP Program, Center for Employment Opportunities (CEO), Cheyenne & Arapaho Tribes of Oklahoma, Citizen Potawatomi Nation, Central Oklahoma Community Action Agency, Community Action Agency of OKC, Deep Fork Community Action Foundation, Francis Tuttle Technology Center, Guthrie Job Corps Center, It's My Community Initiative, Muscogee (Creek) Nation, National Indian Council on Aging, Norman Housing Authority, Norman Public Schools, Oklahoma City Community College, Oklahoma City Housing Authority, Oklahoma Department of Human Services, Oklahoma Department of Rehabilitation Services, Oklahoma Employment Security Commission, ORO Development Corporation, Oklahoma State University Oklahoma City (OSU-OKC), Rose State College, Seminole Nation of Oklahoma, Shawnee Public Schools, Talking Leaves Job Corps Center, United Urban Indian Council This IFA is developed and entered into with the agreement of the Board of Chief Elected Officials (BCEO) for the Central Oklahoma workforce area. 1
2 NOTE: Pursuant to state and federal policy, one-stop partners who receive WIOA Section 166 funds (Native American grantees) are not required to contribute funds to infrastructure costs. 4. IFA Development In developing this IFA, the partners observed the guidance that was given by the Oklahoma Office of Workforce Development in OWID # , Memorandum of Understanding Guidance and MOU Toolkit Infrastructure Funding Agreements (IFAs) and the State Funding Mechanism (SFM), under the Workforce Innovation and Opportunity Act of 2014 (WIOA), PHASE II, dated October 27, To reach consensus of this funding agreement, COWIB and the one-stop partners held a series of planning and coordination meetings. On November 21, 2017, the partners who were present agreed to use a cost sharing eample (Model A) described in OWDI # In the event that not all partners accept this Infrastructure Funding Agreement, it is understood that a State Funding Mechanism will be implemented as described in WIOA Section 121(h)(2). 5. Periodic Modification and Review Process At the end of each quarter, partner shares will be reviewed and reconciled against actual costs incurred, and adjusted to ensure that actual costs charged to any one-stop partners are proportionate and equitable to the benefit received by the one-stop partners and their respective programs or activities. 6. Duties of the Fiscal Agent COWIB agrees to act as the Fiscal Agent for the infrastructure cost funding mechanism in Central Oklahoma. COWIB shall develop appropriate timeframes and mechanisms for receiving reports from the One-Stop Partners, and as may be necessary -- invoicing them for their proportionate share of actual infrastructure costs (fairly allocated) and/or reimbursing them for over-contributions. Cash contributions to infrastructure costs will be received, as needed and appropriate, from the One-Stop Partners and managed by the. In-kind contributions may also be properly tracked and recorded. COWIB will: Record and document in-kind partner contributions; Appropriately charge infrastructure costs to One-Stop Partner contributions according to the agreed-upon cost allocation methodology(ies); Periodically reconcile actual costs incurred against the approved infrastructure budget; Prepare a regular report on infrastructure costs and contributions; Properly maintain a record of infrastructure costs and contributions in accordance with the Uniform Administrative Requirements. As needed, pay authorized costs identified in the infrastructure budget; As needed, reimburse One-Stop Partners for over-contributions to the infrastructure budget. 2

Comprehensive Center(s) and Co-located Partners As described in the WIOA Joint Rule at , a comprehensive one-stop center is a physical location where job seeker and employer customers can access the programs, services, and activities of all required one-stop partners. A comprehensive one-stop center must have at least one title I staff person physically present. Five comprehensive centers have been established in Central Oklahoma. The co-located partners in each center are indicated. A co-located partner is a partner that operates a one-stop program that is physically present in the comprehensive center: Norman Workforce Center 1141 E Main Norman, OK Co-located: OESC, COWIB OKC Brookwood South 9210 S. Western, Suite A-9 Oklahoma City, OK Co-located: OESC, COWIB OKC Eastside Center 7401 NE 23rd Street Oklahoma City, OK Co-located: OESC, COWIB Seminole Workforce Center 229 N 2nd Seminole, OK Co-located: OESC, COWIB Shawnee Workforce Center 2 John C. Bruton Blvd. Shawnee, OK Co-located: OESC, COWIB, DRS 8. Infrastructure Budget and Cost Allocation Summary The planned infrastructure costs for each center are summarized on Page 5 of this Agreement. By agreement of the partners, infrastructure costs include: Rental of Facility(ies), which generally includes utilities (electricity, water, etc.) and maintenance; and Communications (high-speed internet, landline telephones). 9. Cost Allocation Methodology to Share Agreed Upon Infrastructure Costs The partners agree to adopt a cost allocation methodology that is suggested in OWDI # In Model A, as described on Page 37 of the OWDI, infrastructure costs are allocated to the partners using Center square footage as a reference point. 3
4 Model A: Costs are distributed by Center square footage. Physically co-located tenants pay per square foot for designated office space. In the event of partners not co-located in a space and who are providing services through direct linkage, the following method may be used to identify proportionate use based on relative benefit received: i. Contribute to an assigned amount of square footage of designated office space attributable to a kiosk. In Central Oklahoma, the partners agree that the space attributable to a kiosk shall be defined as an area of 10 square feet with the common area of each center. Tenants pay their proportionate share of all common areas in addition to their monthly base rent payment of designated office space. A tenant, in this sense, is a co-located partner. The model described above shall be used to allocate the rental costs of each comprehensive center. The rental costs of each center are pre-established, as follows: Norman $ 7.43 / sq ft OKC Brookwood $12.50 / sq ft OKC Eastside $ 9.00 / sq ft Seminole $ 9.00 / sq ft Shawnee $ 8.90 / sq ft In addition, in order to cover the cost of Communications, the partners agree that telephone and internet costs shall also be allocated on the basis of square footage. The following cost factors are calculated, assuming that the cost of Communications is equivalent to 17% of the rental cost in each center: Norman $ 1.26 / sq ft OKC Brookwood $ 2.13 / sq ft OKC Eastside $ 1.53 / sq ft Seminole $ 1.53 / sq ft Shawnee $ 1.51 / sq ft In summary, the area occupied (or assigned) to each partner will determine the budgeted share of infrastructure costs for each partner: Center Rental Cost Communications TOTAL Norman $ 7.43 / sq ft $ 1.26 / sq ft $ 8.69 / sq ft OKC Brookwood $12.50 / sq ft $ 2.13 / sq ft $14.63 / sq ft OKC Eastside $ 9.00 / sq ft $ 1.53 / sq ft $10.53 / sq ft Seminole $ 9.00 / sq ft $ 1.53 / sq ft $10.53 / sq ft Shawnee $ 8.90 / sq ft $ 1.51 / sq ft $10.41 / sq ft 4

Disputes Pursuant to (b)(2) of the WIOA Joint Rule, COWIB will work with all of the One-Stop Partners to achieve consensus and informally mediate any possible conflicts or disagreements among the One- Stop Partners especially with regard to implementation of this one-stop infrastructure funding agreement. In the event that any dispute should arise among the Parties to this agreement regarding any terms and conditions, the performance, or administration of the one-stop partner MOU, including this IFA, the following procedure will be initiated: The Parties to the IFA shall first attempt to resolve any such dispute informally. By mutual agreement, the disagreement or dispute may be brought forward to a meeting of a One-Stop Partner management committee or workgroup. Alternatively, by mutual agreement, the dispute or disagreement may be referred to the Oklahoma Office of Workforce Development for resolution. Should informal resolution efforts fail, a formal dispute resolution process may be initiated by the petitioner seeking resolution. The petitioner must send a notification to the COWIB s Chief Eecutive Officer and all Parties regarding the conflict within 10 business days. The COWIB s CEO shall place the dispute on the agenda of a special meeting of the COWIB s Eecutive Committee. The Eecutive Committee shall attempt to mediate and resolve the dispute. Disputes shall be resolved by a majority of the Eecutive Committee members present. The decision of the Eecutive Committee shall be final and binding unless such a decision is in contradiction of applicable State and Federal laws or regulations governing the Partner agencies. The right of appeal no longer eists when a decision is final. Additionally, final decisions will not be precedent-setting or binding on future conflict resolutions unless they are officially stated in this procedure. The Eecutive Committee will provide a written response and dated summary of the proposed resolution to all Parties. The COWIB s CEO will contact the petitioner and the appropriate Parties to verify that all are in agreement with the proposed resolution. Special Condition: If the dispute involves an allegation of a violation of any requirement of Title I of WIOA, the COWIB s Grievance Policy for the Local Workforce Development System in Central Oklahoma will be used to resolve the disagreement. 11. Duration This IFA will become effective as of the date of signing by the final signatory below. This IFA will remain in effect until June 30, 2018, unless all Parties mutually agree to terminate this IFA prior to the end date. 12. Modifications This IFA may be modified at any time by written agreement of the Parties. 6
7 When a Partner wishes to modify the IFA, the Partner must first provide written notification to all signatories of the eisting IFA and outline the proposed modification(s). Upon notification, the COWIB Chair (or designee) must ensure that discussions and negotiations related to the proposed modification take place with Partners in a timely manner and as appropriate. Depending upon the type of modification, this can be accomplished through communications of all the Parties. If the proposed modification is etensive and is met with opposition, the COWIB Chair (or designee) may need to call a meeting of the Parties to resolve the issue. Upon agreement of all Parties, a modification will be processed. 13. Effect Nothing in this Infrastructure Funding Agreement shall be interpreted as limiting, superseding, or otherwise affecting either party s normal operations or decisions in carrying out its statutory or regulatory duties. This Agreement does not limit or restrict either party from participating in similar activities or arrangements with other entities. A. No Rights Conferred. This IFA is a mutual statement designed to improve the efficiency of Central Oklahoma s One-Stop Delivery System and does not confer any rights on any other Parties. B. Liability. All Parties to this IFA recognize the Partnership consists of various levels of government, not-for-profit, and for-profit entities. Each party to this agreement shall be responsible for injury to persons or damage to property resulting from negligence on the part of itself, its employees, its agents, or its officers. No Partner assumes any responsibility for any other party, State or non-state, for the consequences of any act or omission of any third party. The Parties acknowledge the COWIB and the one-stop operator have no responsibility and/or liability for any actions of the one-stop center employees, agents, and/or assignees. Likewise, the Parties have no responsibility and/or liability for any actions of the COWIB or the one-stop operator. C. Severability. If any part of this IFA is found to be null and void or is otherwise stricken, the rest of this IFA shall remain in force. D. Non-Assignment. Ecept as otherwise indicated herein, no Party may, during the term of this IFA or any renewals or etensions of this IFA, assign or subcontract all or any part of the IFA without prior written consent of all other Parties. E. Approval Required. This Agreement is of no force or effect until approved by the Chief Local Elected Official and the Chair of the. 7
