2 Schlüter - BEKOTEC-THERM The ceramic thermal comfort floor Energy-efficient, comfortable, reliable. Floor heating systems are the ideal medium for environmentally sound and economical heating thanks to their large-scale heat distribution across the entire space. Past experience has shown how difficult it is to achieve a satisfactory balance of the requirements placed on the entire assembly by the demands of construction, physics, and heating technology. Thus, conventional heated screeds with ceramic coverings often buckle or form cracks. This is mainly attributable to the fact that screed and ceramics show different expansions lengths due to their different heat expansion coefficients during temperature changes. The specifications of the corresponding building codes, for example with regard to screed thickness, movement joints, reinforcement inserts, or residual moisture until a substrate is fully cured have frequently proven inadequate for practical applications in the past. From the perspective of heating technology, a relatively large screed volume has the disadvantage that a large amount of heating energy has to be supplied and stored. Accordingly, conventional floor heating systems are slow to respond to temperature changes. The complete system Schlüter -BEKOTEC-THERM solves these problems comprehensively and is protected as an international process patent. The "BEKOTEC" component in the name represents the covering assembly technology, while THERM stands for the heating components. Schlüter -BEKOTEC-THERM is based on a thin floor assembly made of conventional cementitious or quick-set screeds, which are applied over the studded BECOTEC panels and reduce shearing tensions of the screed area in the studded pattern. Our THERM component offers heating technology that precisely matches the BEKOTEC system, ranging from heating pipes to electronic controls. The relatively small screed volume and the closeness of the heating pipes to the surface allow for a quick response to temperature changes. The interconnected air channels of the uncoupling mat below the tiles result in even heat distribution. This makes Schlüter -BEKOTEC- THERM a quick-reacting "ceramic thermal comfort floor" that can be operated with great energy efficiency at very low supply temperatures. Of course, other materials can be installed over the BEKOTEC screed as well. Schlüter -BEKOTEC-THERM has been proven in domestic and international projects for years, whenever quick construction progress and ecologically sound heating are priorities. The LEED certification of our new administrative building in Montreal is an objective confirmation of the system's sustainability. 2

This includes the determination of the required heating circuits and the optimal installation spacing. The system generates a material list that includes all necessary components. Such lists can be supplied as tables or as CAD drawings with heating circuits. 6 Schlüter - BEKOTEC-THERM All-round systems Schlüter - BEKOTEC-EN Schlüter - BEKOTEC-EN F Schlüter - BEKOTEC-THERM is a safe floor assembly with low construction height. In conjunction with the matching heating and control technology, the modular system results in an energy efficient and quick reacting radiant heated floor system with low water supply temperatures. The system is based on the studded screed panel, Schlüter - BEKOTEC-EN, which is directly installed on top of a load bearing substrate and/or conventional heat and sound insulation panels. The studs are spaced in such a way that the Schlüter heating pipes can be installed at regular intervals to suit the room requirements; the studs are spaced at intervals of 75 mm. Screed mortar CT-C25-F4 (ZE 20) or CA-C25-F4 (AE 20) (maximum flexural strength F5) covers the studs and the heating pipes by a minimum of 8 mm and maximum of 25 mm. This results in a screed thickness of at least 32 mm between the studs. The contraction that occurs when the screed cures is reduced within the pattern of the studs, so that no tension can build as a consequence of contraction buckling. It is therefore not necessary to divide the screed into separate fields with movement joints. Upright structural elements need to be secured with edging strips and construction joints will be carried over into the floor assembly. Once the screed is ready to support weight, the Schlüter - DITRA 25 or Schlüter - DITRA-DRAIN 4 uncoupling mat is installed. Ceramic tiles or natural stone can be installed directly on top of this layer in thin-bed tile adhesive. Movement joints in the cover layer above Schlüter - DITRA should be established with Schlüter - DILEX in the usual spacing. Since the screed mass to be heated or cooled is comparatively small, the radiant heated floor is easily regulated and can be operated with low supply temperatures. The electronic Schlüter control components, which are also available in wireless versions and are coordinated with the system, also allow for the quick and accurate control of the Schlüter - BEKOTEC-THERM ceramic thermal comfort floor. The modular structure of the entire Schlüter control technology allows for simple installation and operation. 7 Design benefits The Schlüter - BEKOTEC-THERM ceramic thermal comfort floor is an easily coordinated modular system that is economical and effective, with low construction height and short installation time for new buildings and refurbishment. It is suitable for private homes as well as commercial areas such as office buildings, salesrooms and car dealerships. Once Schlüter - BEKOTEC-THERM has been installed as the heating system, no other obstructive heating elements are required. This allows for maximum design freedom. This results in a wide range of application options for new construction and refurbishment. Due to the low screed mass, the weight of 1 m 2 of screed is only 57kg. Compared to conventional heated screeds, a reduction of 37 mm in screed thickness saves 3.7 m 3 of screed mortar with the weight of approximately 7.4 t over an area of 100 m 2. This has a positive impact on the static calculations of new construction or refurbishment projects. The building is also spared the corresponding amount of moisture. Shrinkage stresses in the screed are evenly reduced in the studded pattern of the Schlüter - BEKOTEC screed panel. The screed does not buckle due to internal tensions. No constructive reinforcement is necessary. The tensions in the screed are evenly reduced across the entire area. Therefore, it is not necessary to divide the screed into fields with movement joints. In addition to ceramic tiles and natural stone coverings, other coverings such as parquet, laminates, or carpet can be installed, offering a great variety of design choices. Note: When installing coverings other than ceramic tile or natural stone, the applicable building standards for the covering must be followed, e.g. residual moisture at final curing. More design options Short construction time Crack free ceramic or natural stone covering Highly durable Free choice of movement joints in the joint pattern of the ceramic covering over Schlüter - DITRA 25 or Schlüter - DITRA-DRAIN 4, since the joints from the screed do not have to be carried over. Schlüter - DITRA 25 or Schlüter - DITRA-DRAIN 4 can be installed as soon as the screed is ready to support weight, followed by the tile covering. For calcium sulfate screeds, the residual moisture should be approximately 2 %. No warm up or cure heating is required. No CM measurements to determine residual moisture. Less material, therefore quicker installation. The low tension screed construction and uncoupling properties of Schlüter - DITRA 25 or Schlüter - DITRA-DRAIN 4 make sure stresses are not transferred to the covering. Loads in private and commercial buildings of up to 5kN/m 2 are no problem (additional insulation must be able to sustain the corresponding pressure). The evenly radiated heat reduces the growth of mold and the germination of spores. Ceramic tile and natural stone coverings are especially easy to care for and are hygienic. 8 Schlüter - BEKOTEC-THERM Restoration systems Schlüter - BEKOTEC-THERM is ideally suited for creating heated and unheated screed in renovation projects because of its thin-layered structure. The variations Schlüter - BEKOTEC-EN 18 FTS and Schlüter - BEKOTEC-EN 12 FK were specifically developed for such applications. The low assembly height and small screed volume result in minimal static loads. Schlüter - BEKOTEC-EN FTS Schlüter - BEKOTEC-EN 18 FTS is installed as a floating system on existing, weight-bearing substrates or old coverings if applicable. The sound insulation layer integrated below the studded screed panel can reach sound insulation values of up to 25 db. With a coverage of min 8 mm/ max. 20 mm over the studs, the assembly height is 31 to 43 mm. Schlüter - BEKOTEC-EN 12 FK is installed as a bonded assembly on existing, weightbearing substrates or old coverings if applicable. The 12 mm studs are covered with min. 8 mm / max. 15 mm of screed allowing for assembly heights of 20 to 27 mm. Schlüter - BEKOTEC-THERM is ideally suited for the construction of energy-efficient ceramic thermal comfort floors in conjunction with ceramic tile and natural stone and the Schlüter - DITRA 25 membrane. 10 Schlüter - BEKOTEC-THERM Control technology 1 ER Interior thermostat Control, Comfort, Standard & Comfort cooling/heating Schlüter control technology allows for the individual control of room temperature settings. The flexible modular system can be adapted to all construction designs and individual room temperature control. In conjunction with the high quality control options of the Schlüter - BEKOTEC-THERM ceramic thermal comfort floor, the home atmosphere is pleasant and complies with energy savings regulations at the same time. Controls are available in the versions 24 Volt with integrated transformer, 230 Volt, or wireless. The plug in and clamp connections for wiring and module connections are colour coded for easy installation. 4.3 Note Connection cable from the interior thermostat to the control module: NYM 5 x 1.5 mm ESME/R Expansion for interior thermostats ESME/KH Extension for Cooling/heating ESME/SA Expansion for actuators 2 ESM Control module 3 SA Actuators Basic installation Schlüter - BEKOTEC-THERM-ESM as the control module is the switch connection between the interior thermostat and the actuator. It can control up to six interior thermostats (= six rooms) with one to four actuators each. The total number of connected actuators including control module expansions has to be limited to a maximum of 14 (=14 heating circuits). For wireless operation the maximum is 13. Expansion options A great variety of expansion options are available for the control modules. Please refer to the individual product descriptions for more information. 10

11 Components of control technology: ESME/P Control module expansion for pump control ER interior thermostats Four different models are available: 4.5 ESME/T Control module expansion with timer/ digital clock Control, Comfort, Standard or Comfort cooling/heating The appealingly designed interior thermostats feature a dial for setting the room temperature in a range between 10 and 28 C. The high quality thermostats have integrated pulse width modulation that equalises variations in room temperature. ER/C interior thermostat Control The interior thermostat Control is equipped with a digital clock and can be used to program time controlled temperature settings of a room or as a pilot clock for several rooms (room group control). A variable temperature reduction of 2 to 6 C is integrated. ER/K interior thermostat Comfort The interior thermostat Comfort is equipped with a variable temperature reduction mechanism of 2 to 6 C. A selection switch can be set to ON, OFF, or AUTOMATIC; an LED indicates the selection. Automatic time control can be set through the interior thermostat Control acting as a pilot clock or through a digital clock at the control module. ER/S interior thermostat Standard The Standard interior thermostat is preset for a temperature reduction of 2 C. Automatic time control can be set through the interior thermostat Control acting as a pilot clock or through a digital clock at the control module. ER/KKH thermostat, for Comfort cooling/heating The Comfort cooling/heating thermostat can be reversed by the control module extension ESME/ KH and is therefore capable of regulating the room temperature for cooling/heating. The operating modes cooling ( Ice crystal symbol) and temperature reduction ( Moon symbol) are shown with separate LED indicators. The unit is equipped with a variable temperature reduction setting from 2 to 6ºC. The digital clock ESME/T can be installed in the control module for automatic timer control. 2 ESM-R6 control module The Schlüter control module is the switch connection between the interior thermostats and the actuators. Up to six interior thermostats with one to four actuators each can be connected. The total number of connected actuators is limited to a maximum of 14 (13 for wireless operation). Control module expansions can be plugged in. The control module is also available for an interior thermostat as ESM-R1. 3 ESA actuators The Schlüter actuators regulate the flow at the individual cold leg valves of the heating circuit distributor (each actuator controls one heating circuit). They are equipped with an optical function display and a valve adaptation control. They are easy to install by plugging in. 4.1 ESME/SA actuator expansion With the ESME/SA expansion, more than four heating circuits monitored by actuators can control one or two large rooms. The expansion allows for one to eight additional actuators for one room or one to four additional actuators for two rooms. The total number of connected actuators is limited to a maximum of 14 (13 for wireless operation). 4.2 ESME/R interior thermostat expansion With the expansion ESME/R, two additional interior thermostats with one to four actuators each can be added to control more than six rooms. The total number of connected actuators is limited to a maximum of ESME/KH extension for cooling/heating The ESME/KH extension can switch all ER/KKH thermostats that are connected to the control module (24 V) from cooling to heating and vice versa. The switching takes place by way of a potential free contact on the side of the heat or cold generator or manually by pushing the set button on the control module extension. The operating modes (cooling, heating, or automatic mode) are shown by LED indicators. 4.4 ESME/P expansion of pump control With the expansion ESME/P, the pump of the heating setup can be controlled energy efficiently by demand. The device also has a setting for delayed offset flow. The control module extension is also available as a dual pump module ESME/PD. 4.5 ESME/T timer/digital clock expansion The ESME/T expansion is a digital clock for the time control of two different heating zones with separate heat reduction phases. It is suitable for daily or weekly programming. 11

12 mm Schlüter - BEKOTEC-EN Schlüter - BEKOTEC-EN is a studded screed panel made of polystyrene, which is designed for the attachment of the Schlüter - BEKOTEC-THERM-HR heating pipes, with a diameter of 16 mm. The panels are grooved for optimal joining. The heating pipes are attached in the desired spacing between the cutback studs, which are arranged in a regular spacing pattern of 75 mm. Conventional screed CT-C25-F4 (ZE 20) or CA-C25-F4 (AE 20) (maximum flexural strength F5) is installed above the studs with a thickness of at least 8 mm and at most 25 mm. Schlüter - BEKOTEC-EN/P consists of polystyrene (EPS 033 DEO), white, without foil coating and is most suited for conventional cement screeds. Schlüter - BEKOTEC-EN/PF is made of polystyrene (EPS 033 DEO) with an orange sheet coating and is therefore especially suited for flowing screeds (e.g. gypsum screeds). 13 Schlüter - BEKOTEC-EN F Schlüter - BEKOTEC-EN F is a studded screed panel made of high impact polystyrene, designed for the attachment of the 14 mm heating pipes Schlüter - BEKOTEC-THERM-HR. The Schlüter - BEKOTEC panels are connected by overlapping a row of studs and clicking the panels together. The cutback studs hold the heating pipes in a precise 75 mm pattern, depending on the required pipe spacing. The screed is professionally installed as conventional screed of quality CT-C25-F4 (ZE20) or CA-C25-F4 (AE 20) (maximum flexural strength F5), with a coverage of at least 8 mm and no more than 25 mm above the studs. 32 Schlüter - BEKOTEC-THERM-ZWK Schlüter - BEKOTEC-THERM-ZWK is an electrically operated heating unit to cover additional heating requirements, for example in bathrooms. The heating unit is pre filled with heating unit fluid, sealed and intended for exclusively electrical heating operation with the corresponding electrical heating rod. An infrared remote control with receiving unit is included for operation. The desired room temperature, ranging from 5 to 30 C, can be set at the dial of the remote control unit. Additionally, users can select consistent heating for one or two hours with the Comfort Mode button. A control light (LED) displays the operating status (Comfort Mode 1h/off/2h). The receiving unit is suitable for installation on a concealed wall electrical box or directly onto the wall and is equipped with an On/Off button and a control light to display the operating status. Note: The predefined filling volume of the heating unit may not be changed. 33 Calculation aid The cost of the radiant heated floor system, Schlüter - BEKOTEC-THERM, depends on several factors that are specific to the building project, e.g. the number and size of rooms, the number of heating circuits and the distance between the heating pipes, as well as the desired type of control technology must be factored into the calculation. Based on our own experience, we have calculated the material cost (using gross prices) of all required Schlüter - BEKOTEC-THERM components including control technology for 1 m 2 of a typical one family home. As an alternative, we have also calculated the average price for 1 m 2 of a commercial area of 500 m 2 without room divisions. These prices do not include the cost of labour and are shown in the table below. The values only represent mathematical guidelines and may vary depending on the specific circumstances of the building project. Other components of the construction, such as insulation, screed, Schlüter - DITRA 25 or Schlüter - DITRA-DRAIN 4 and coverings are shown in the table without price indication and can be calculated on the basis of conventional pricing. In the case of screed, the lower material need and the associated quicker installation has to be considered. 35 Standard Terms and Conditions of Sale 1. DEFINITIONS 1.1.»The Seller«means Schlüter-Systems Limited.»The Buyer«means all those purchasing Goods from the Seller.»Goods«means the goods which the SelIer sells to the Buyer and includes any service provided by the Seller relating to the Goods.»The Contract«means the contract for the sale of the Goods between the Seller and the Buyer formed when the Seller accepts the Buyer's offer to buy Goods from the Seller All contracts for the sale of Goods by the Seller to the Buyer shall be on and shall incorporate these terms and conditions to the exclusion of all other terms and conditions. No other terms and conditions (whether contained in any document issued by the Buyer or in any written or oral communication between the parties) shall be implied into the Contract whether by virtue of any usage or course of dealing or otherwise (including any term or condition implied into the Contract by statute or common law, to the extent that the law allows the implied term or condition to be excluded) except as expressly set out in the Contract These terms and conditions apply to all the Seller s sales of Goods and any variation to these terms and conditions and any representations about Goods shall have no effect unless expressly agreed in writing. The Buyer acknowledges that it has not relied on any statement, warranty, promise or representation made or given by or on behalf of the Seller which is not set out in these terms and conditions. Nothing in this condition shall exclude or limit the Seller s liability for fraud or fraudulent misrepresentation Each order from the Buyer, or acceptance by the Buyer of a quotation from the Seller for Goods, shall be deemed to be an offer by the Buyer to buy Goods subject to these terms and conditions. 2. FORMATION OF CONTRACT 2.1. Prior to acceptance, quotations may be withdrawn at any time by the Seller and will lapse automatically 30 days after issue unless otherwise agreed in writing by the Seller By ordering Goods from the Seller, whether in writing (which includes ) or by telephone, the Buyer is deemed to have accepted these terms and conditions Orders will be accepted subject to the Buyer s credit being and remaining to the satisfaction of the Seller and the Seller is entitled to cancel the Contract without liability should the Buyer s credit subsequently become inadequate for whatever reason. 3. DESCRIPTION 3.1. The quantity and description of Goods shall be as set out in the Seller s quotation or acknowledgement of the Buyer's order All samples, drawings, descriptive matter, specifications and advertising issued by the Seller and any descriptions or illustrations contained in the Seller s catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Goods described in them. They shall not form part of the Contract and this is not a sale by sample The Seller reserves the right to amend the specification of Goods if required by any applicable statutory or regulatory requirements Any oral advice or recommendation given by the Seller, or its employees, agents or subcontractors, to the Buyer as to the storage, application or use of the Goods is followed entirely at the Buyer's own risk. The Supplier shall not be liable for any such advice or recommendation which is not set out in writing by the Seller. 4. DELIVERY 4.1. Although the Seller will endeavour to deliver the Goods within any delivery time specified, that time is an estimate and not a term of the Contract. In no event whatsoever will the Seller be liable for damages, losses, costs, charges or expenses of any kind including without limitation special, indirect and/or consequential damages, losses, costs, charges or expenses caused by any delay in delivery. Time of delivery shall not be of the essence and late delivery does not entitle the Buyer to terminate the Contract, save as per clause Any time specified will be automatically extended by any period or periods during which the delivery of the Goods or the work by the Seller in connection with the Contract is delayed due to an event of force majeure as set out in condition If any such delivery time is so extended by more than 6 weeks then the Buyer may give written notice to the Seller requiring the Goods to be delivered within 28 days of the date of such notice failing which the Buyer may give further written notice terminating the Contract immediately The Seller is entitled to deliver the Goods by instalments Where the Goods are to be delivered by instalments, each delivery will be a separate contract and failure by the Seller to deliver an instalment in accordance with the Contract or any claim by the Buyer in respect of any one or more instalments will not entitle the Buyer to treat the Contract as a whole as repudiated or to cancel any other instalment The delivery by the Seller of a greater or lesser quantity of the Goods than the quantity provided for in the Contract, or the delivery of Goods only some of which are defective, will not entitle the Buyer to reject all of the Goods delivered The parties will agree the place of delivery of the Goods. Where the delivery address is the Seller s premises, delivery of and passing of risk in the Goods to the Buyer will take place when the Buyer or his agent collects the Goods at the Seller s premises at any time after the Seller has notified the Buyer that the Goods are ready for collection. Where the delivery address is not the Seller s premises, delivery of and passing of risk in the Goods to the Buyer will take place by the Seller or his agent delivering the Goods to that place If the Buyer refuses or fails to take delivery of the Goods or fails to give the Seller adequate delivery instructions (otherwise than by reason of any cause beyond the Buyer s reasonable control or by reason of the Seller s fault) then, without prejudice to any other rights or remedies available to the Seller, the Seller may: store the Goods until actual delivery and charge the Buyer for the reasonable costs (including insurance) of storage; or sell the Goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to the Buyer for the excess over the price under the Contract or charge the Buyer for any shortfall below the price under the Contract Where the delivery address is not at the Seller s premises, so that the Seller can comply with its carrier s conditions, any claim as to the amount of Goods delivered or for damage to the Goods in transit must be endorsed by the Buyer on the carrier s delivery documentation immediately on receipt of the Goods. Also, notification must be given in writing by the Buyer to the Seller within 7 days of the date of delivery of the Goods Any claim alleging an error in the type or quantity of Goods delivered must be made in writing by the Buyer to the Seller within 14 days of the date of delivery of the Goods, and in any event before installation or use of the Goods Unless a claim is made in accordance with conditions 4.9. and 4.10, the Buyer will be deemed to have accepted the Goods and waived all claims relating to error in quantity or type of the Goods delivered Subject to clause 4.10, if any Goods invoiced by the Seller are not delivered, to enable the Seller to claim against its carriers where appropriate, the Buyer must notify the Seller within 14 days of the date of invoice, failing which the Buyer will be liable to pay for the Goods in full Any liability of the Seller for non-delivery of the Goods shall be limited to replacing the Goods within a reasonable time or issuing a credit note against any invoice raised for the Goods which have not been delivered. This condition 4.13 shall not apply where the Buyer fails to accept delivery of any of the Goods when they are made available for delivery, or the Seller is unable to deliver the Goods on time because the Buyer has not provided sufficient and appropriate instructions, documents, licences or authorisations Any liability of the Seller in relation to the type or quantity of Goods ordered shall be limited to supplying the additional Goods (if there is a shortfall), to removing the additional Goods (if there is an excess) or replacing the Goods (if the incorrect Goods were delivered). This condition 4.14 shall not apply where the Buyer has ordered the incorrect type or quantity of Goods or has not provided sufficient, appropriate and/or accurate instructions to the Seller as to the type or quantity of Goods required. 5. RETENTION OF TITLE 5.1. The Seller retains ownership and the right to dispose of the Goods until either the Seller has received payment in full in cleared funds for all the Goods subject to the Contract and the full price of any other Goods supplied by the Seller to the Buyer under any other Contract otherwise howsoever, save that title in the Goods will pass to the Buyer at the moment immediately before the Buyer sells the Goods to a third party Provided that title in the Goods has not passed to the Buyer pursuant to clause 5.1, if payment or part of it is overdue, or immediately on the commencement of any act or proceeding relating (in the Seller s opinion) to the Buyer s solvency, the Seller may (in addition to its other rights) recover and resell the Goods and for that purpose the Buyer irrevocably licenses the Seller and persons authorised by it to enter the Buyer s premises or any other premises where the Seller believes the Goods to be during normal business hours Until title to the Goods has passed to the Buyer, the Buyer shall: keep the Goods free from any lien, charge or encumbrance; hold the Goods on a fiduciary basis as the Seller's bailee; at no cost to the Seller, store the Goods separately from all other goods held by the Buyer so that they remain readily identifiable as the Seller's property; not remove, deface or obscure any identifying mark or packaging on or relating to the Goods; and maintain the Goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery Notwithstanding any agreed credit period, payment will fall due immediately on the commencement of any act or proceeding relating (in the Seller s opinion) to the Buyer s solvency or upon the occurrence of any event which (in the Seller s opinion) places in jeopardy the Seller s title to the Goods The Seller may by notice to the Buyer transfer ownership in all or any part of the Goods specified in the notice to the Buyer The Buyer must notify the Seller forthwith of any attempts by third parties to seize or distrain against the Goods whilst in the Buyer s possession or power and before title has passed to the Buyer and must notify any such third parties of the Seller s ownership of the Goods. 6. PRICE 6.1. The price of the Goods will be in accordance with the Seller s published price list current at the date of delivery of the Goods. Prices in any earlier published price list or in any quotation are provisional only and are subject to adjustment to take account of increases in the Seller s costs and overhead expenses and any exchange rate fluctuation which cause the Seller s costs to increase Unless otherwise agreed by the Seller in writing, the price for the Goods shall be exclusive of all taxes (including value added tax) and all costs, fees, licences, duties or charges in relation to packaging, loading, unloading, carriage and insurance, all of which amounts the Buyer shall pay in addition when it is due to pay for the Goods The Seller may at its discretion charge such additional sum for delivery and insurance as is reasonable to cover: unusual or special arrangements requested by the Buyer; any request by the Buyer to change the delivery date, quantities and/or types of Goods ordered, or the specification of the Goods ordered; delivery outside the hours of Monday to Friday or during bank, statutory or public holidays; delivery during a day designated by the Seller from time to time as a day of closure. Such dates if any will be advised to the Buyer by the Seller s sales office upon the placing of an order; orders below the minimum order value as may from time to time be notified by the Seller s sales office. The minimum order value may be amended without prior notice; delivery to an address outside the UK and Eire mainlands; delays caused by instructions from the Buyer or by the failure of the Buyer to give adequate or accurate delivery instructions or information; any factor beyond the Supplier's control (including, but not limited to, foreign exchange fluctuations, increases in taxes and duties and increases in labour, materials or manufacturing costs). 7. PAYMENT 7.1. If the Seller has granted the Buyer credit facilities in writing, then except as provided in condition 5.3. payment in full in cleared funds must be made within 30 days following the end of the month of the date of invoice. Otherwise payment must be in cash prior to delivery. Payment must be made direct to the Seller at the address shown for payment on the Seller's invoice. The Buyer is not entitled to exercise any right of set-off, counter-claim, abatement or other similar deduction against any payment due to the Seller The Seller may withdraw any credit facility of the Buyer at any time at its sole discretion. Any outstanding payments will fall due immediately If the Buyer fails to pay any amount when due under this agreement, the Seller reserves the right to charge the Buyer interest on the overdue amount, payable by the Buyer immediately on demand, from the due date up to the date of actual payment, after as well as before judgment, at the rate applicable from time to time under the Late Payment of Commercial Debts (Interest) Act 1998 (as amended). Such interest shall accrue on a daily basis and be compounded monthly In the case of a buyer who is a company, although the Seller may submit accounts to the company, all directors (unless otherwise agreed) are personally liable for the Seller s charges and other obligations to the Seller in the event of the company s default. 8. WARRANTIES AND EXCLUSIONS 8.1. If the Buyer has purchased a Schlüter -BEKOTEC floor assembly system then the terms and conditions contained in the free 5 year limited warranty for the Schlüter -BEKOTEC floor assembly will apply in place of the terms and conditions set out in this condition 8, other than condition The Seller undertakes that if it is given timely notice in accordance with condition 8.3. that any of the Goods were defective on delivery and if the defect arises from faulty materials or workmanship in manufacture, the Seller will (at its election) repair or replace the defective items free of charge, other than delivery charges Notice must be given within 7 days of discovery of the defect and in any event not later than 12 months after delivery of the Goods The Buyer will retain the purportedly defective Goods at its premises (without making any further use of the Goods) until requested by the Seller to return them. Goods alleged to be defective will be subject to inspection and testing by the Seller at its own or (if the Seller so chooses) at the Buyer s premises and the Buyer will allow the Seller adequate facilities at the Buyer s premises to investigate the complaint The warranty contained in condition 8.2. will not apply if the defect is caused or contributed to by abuse, improper installation or application of the Goods, further use of the Goods after the Buyer first suspects that the Goods do not comply with the warranty in condition 8.2, failure to follow the Seller's written instructions or good trade practice regarding the storage, commissioning, installation, use and maintenance of the Goods, fair wear and tear, wilful damage, designs and specifications and items outside the Seller's scope of supply, misuse, neglect or repairs or modifications to the Goods without the Seller's approval or where the Goods have been damaged by accident or negligence in use, storage or transportation. The Seller s current brochures and technical information sheets contain details of the Goods and their application, and no representations or warranties are made as to their suitability for any other use, unless such use is expressly made in writing by the Seller All other conditions, warranties, statements and representations whether oral, written, express or implied, statutory or otherwise, including as to quality, fitness for any particular purpose, or as to correspondence with any sample are, to the fullest extent permitted by law, excluded from the Contract The Seller s liability under this warranty shall be limited to repair or replacement of the Goods (at the Seller s option). In no event whatsoever will the Seller be liable for special, indirect and/or consequential losses, damages, costs, charges or expenses Subject to condition 10.2, the Buyer will fully indemnify the Seller and keep the Seller indemnified against all losses, damages, costs or expenses and other liabilities (including legal fees) incurred by, awarded against or agreed to be paid by the Seller arising from the Buyer s abuse, improper installation or improper application of the Goods except and to the extent that such liabilities have resulted directly from the Seller's instructions. For the purposes of this condition 8.8, abuse includes the Buyer s failure to use, apply and install the Goods with (1) due care and skill using appropriately experienced and qualified personnel; and (2) the recommendations of the Seller as set forth in the Seller s current brochures and technical information sheets or other written instructions furnished by the Seller. 9. RESALE OF GOODS 9.1. The Buyer may resell the Goods to a third party on the condition that it: does not without the Seller's prior written consent make any promises or guarantees about the Goods beyond those contained in the promotional material supplied by the Seller, or otherwise incur any liability on behalf of the Seller; deals with all customer enquiries and/or complaints relating to the Goods promptly and in a professional manner; does not state, suggest, imply or lead people to infer (including without limitation through use of the trade mark SCHLÜTER and/ or any other trade mark of the Seller) that it is an agent of the Seller or an authorised or official distributor of the Seller s products; procures that any purchaser of the Goods from the Buyer enters into a legally binding agreement with the Buyer, placing such purchaser under the same obligations as are imposed on the Buyer by this clause 9; refers to the Seller any technical issues and questions relating to the Goods which the Buyer is unable to answer; and keeps full and proper books of account and records clearly showing all transactions and proceedings relating to the Goods The Buyer shall be entitled to advertise, promote and resell the Goods on its website in accordance with the terms of this condition 9.2. By virtue of the specialist nature of the Goods and in order to maintain the Seller's quality standards, it shall be a condition of the Contract that: the Buyer does not provide links on its website to the website of the Seller or any website owned by a company within the Seller's corporate group without the Seller's prior express permission and without entering into a formal linking licence agreement with the Seller; the Buyer uses on its website such promotional and advertising material as it may be from time to time be provided by the Seller. 10. LIMITATION OF LIABILITY - THE BUYER'S ATTENTION IS PARTICULARLY DRAWN TO THE PROVISIONS OF THIS CONDITION This condition 10 sets out the entire financial liability of the Seller (including any liability for the acts or omissions of its employees, agents and sub-contractors) to the Buyer in respect of: any breach of the Contract; the Goods or any part of them (including any use made of them by the Buyer) under any legal theory whatsoever; any representation, statement or tortious act or omission (including negligence) arising under or in connection with the Contract; or any other liability (including non-contractual) howsoever arising under any legal theory whatsoever arising out of or in connection with the Contract Nothing in these terms and conditions limits or excludes the liability of the Seller: for death or personal injury resulting from negligence or the negligence of its employees, agents, consultants or sub-contractors; for fraud or fraudulent misrepresentation or wilful default; or any other liability which is incapable of being excluded or limited by law Subject to condition 10.2, the Seller shall under no circumstances be liable to the Buyer whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution and/or otherwise howsoever under any legal theory whatsoever, for any of the following losses (whether direct, indirect, special and/or consequential): loss of profits or contracts; loss of anticipated savings; loss of income or revenue; loss of or damage to reputation or goodwill; loss of business; loss of opportunity; wasted management and/or other staff and/or office time; or losses or liabilities under or in relation to any other contract; nor for any other indirect, special and/or consequential loss, damage, costs, damages, charges or expenses Subject to condition 10.2, the Seller's total liability in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution and/or otherwise howsoever under any legal theory whatsoever arising under or in connection with the Contract shall in all circumstances be limited to the Contract price. 11. FORCE MAJEURE The Seller shall not be liable for any failure or delay in performing its obligations herein, (and, where delay has arisen, the date on which its obligations are to be fulfilled shall be extended for a period of time equal to the time lost) by reason of any acts of God or other causes beyond Seller s reasonable control ( force majeure ), including, but not limited to, acts of any governmental authority (including delay or failure to act), war (declared or undeclared), riot, revolution, acts of a public enemy, fires, wildcat strikes, labour disputes, floods, sabotage, epidemics, quarantine restrictions, freight embargoes, and unusually severe weather. 12. TERMINATION If the Buyer suffers (or appears to the Seller to be about to suffer) the on-set of insolvency, or ceases to carry on business, or stops paying its debts as they fall due, or is in breach of any term or condition of the Contract (including without limitation, a failure to pay any sums due under the Contract) the Seller may, without prejudice to its other rights, postpone delivery both in respect of the Contract in question and any other contracts with the Buyer until the breach has been rectified and/or (at its option) terminate the Contract (and/or any other such contracts) and recover payment for all deliveries already made and for any expenditure already incurred for the purpose of future deliveries (less any allowance for the value thereof as utilised by the Seller for other purposes) and also recover from the Buyer a sum equivalent to the Seller s loss of profit arising out of such termination. The exercise of the Seller s option to postpone delivery shall not prevent the subsequent exercise of the Seller s option to terminate the Contract and/or any other such contracts. 13. CANCELLATION The Contract may be cancelled by the Buyer only with the Seller s written consent. In the event of such cancellation the Seller will be entitled to charge the Buyer a cancellation charge, commensurate with the Seller s costs incurred up to the date of cancellation plus the Seller s loss of profit. 14. GENERAL If any provision (or any part of any provision) of the Contract is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall, to the extent of such illegality, invalidity, voidness, voidability, unenforceability or unreasonableness, be deemed severable and the remaining provisions of the Contract and the remainder of such provision shall continue in full force and effect Failure or delay by the Seller in enforcing or partially enforcing any provision of the Contract shall not be construed as a waiver of any of its rights under the Contract Any waiver by the Seller of any breach of, or any default under, any provision of the Contract by the Buyer shall not be deemed a waiver of any subsequent breach or default and shall in no way affect the other terms of the Contract The parties to the Contract do not intend that any term of the Contract shall be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it and any person who is not a party has no right to enforce any term of the Contract The Buyer shall not, without the prior written consent of the Seller, assign, transfer, mortgage, charge, subcontract or deal in any other manner with the Contract or all or any of its rights and obligations under the Contract or purport to do any of the same Any variation to these terms and conditions, including the introduction of any additional terms and conditions, shall only be binding when agreed in writing and signed by the Seller. 15.
