1 ORDNANCE NO An ordance providg for the abandonment portions Montie Street, an alley and a street easement located adjacent City Blocks A/4475 and B14476 the City Dallas and County Dallas, Texas; providg for the quitclaim there True Lee Missionary Baptist Church (also known as True Lee Baptist Church), Frazier Revitalization, nc. and Frazier HS, L.P.; providg for the terms and conditions the abandonment and quitclaim made here; providg for barricadg; providg for the demnification the City Dallas agast damages arisg out the abandonment here; providg for the consideration be paid the City Dallas; providg for the payment the publication fee; and providg an effective date for this ordance. ooooooo WHEREAS, on August 11, 24 the City Council the City Dallas passed Ordance No , providg for the abandonment a portion an alley the abuttg owner, True Lee Missionary Baptist Church and Trustees True Lee Missionary Baptist Church; and WHEREAS, the fal replat requirement was not met with the specified time period; and WHEREAS, Ordance No is now null and void; and WHEREAS, the City Council the City Dallas, actg pursuant law and upon the request and petition True Lee Missionary Baptist Church (also known as True Lee Baptist Church), a Texas non prit corporation, Frazier Revitalization, nc., a Texas non prit corporation, and Frazier HS, L.P., a Texas limited partnership, hereafter referred collectively as GRANTEE, deems it advisable abandon and quitclaim the hereafter described tracts land GRANTEE, and is the opion that, subject the terms and conditions here provided, portions Montie Street, alley and street easement are not needed for public use, and same should be abandoned and quitclaimed GRANTEE, as hereafter stated; and LW/

2 WHEREAS, the City Council the City Dallas is the opion that the best terest and welfare the public will be served by abandong and quitclaimg the same GRANTEE for the consideration and subject the terms and conditions hereafter more fully set forth; Now, Therefore, BE T ORDANED BY THE CTY COUNCL OF THE CTY OF DALLAS: SECTON 1. That the tracts land described Exhibit A, which is attached here and made a part here for all purposes, be and the same is abandoned, vacated and closed sar as the right, title and terest the public are concerned; subject, however, the conditions hereafter more fully set out. SECTON 2. That for and monetary consideration the sum TWENTY-FVE THOUSAND NNE HUNDRED TEN AND NOOO ($25,91.) DOLLARS paid by GRANTEE, and the further consideration described Sections 8, 9, and 1, the City Dallas does by these presents FOREVER QUTCLAM un the GRANTEE, subject the conditions, reservations, and exceptions hereafter made and with the restrictions and upon the covenants below stated, all its right, title and terest and those certa tracts land hereabove described Exhibit A as follows: un True Lee Missionary Baptist Church (also known as True Lee Baptist Church), all its right, title and terest Tracts 1, 3, 4, 7 and 9 Exhibit A; un Frazier Revitalization, nc., all its right, title and terest Tracts 2, 5 and 6 Exhibit A; and un Frazier HS L.P., all its right, title and terest Tract 8 Exhibit A. TO HAVE AND TO HOLD all such right, title and terest and the property and premises, subject afore, gether with all and sgular the rights, privileges, hereditaments and appurtenances there any manner belongg un the GRANTEE forever. SECTON 3. That upon payment the monetary consideration set forth Section 2, GRANTEE accepts the terms, provisions, and conditions this ordance. SECTON 4. That the City Controller is authorized deposit the sum paid by GRANTEE pursuant Section 2 above the General Fund 1, Department DEV, Balance Sheet 519 and Department Sustaable Development and Construction Real Estate Division shall be reimbursed for the cost obtag the legal description, appraisal and other admistrative costs curred. The reimbursement proceeds shall LW/

3 be deposited General Fund 1, Department DEV, Unit 1183, Object 511 and any remag proceeds shall be transferred the General Capital Reserve Fund 625, Department BMS, Unit 8888, Revenue Source SECTON 5. That the abandonment and quitclaim provided for here are made subject all present zong and deed restrictions, if the latter exist, and are subject all existg easement rights others, if any, whether apparent or non-apparent, aerial, surface, underground or otherwise, and are further subject the conditions contaed Exhibit B, which is attached here and made a part here for all purposes. SECTON 6. That the terms and conditions contaed this ordance shall be bdg upon GRANTEE, their successors and assigns. SECTON 7. That the abandonment and quitclaim provided for here shall extend only the public right, title, easement and terest, and shall be construed extend only that terest the Governg Body the City Dallas may legally and lawfully abandon and vacate. SECTON 8. That as a condition this abandonment and as part the consideration for the quitclaim GRANTEE here, GRANTEE, their successors and assigns, agree demnify, defend, release and hold whole and harmless the City Dallas, from and agast any and all claims for damages, fes, penalties, costs or expenses persons or property that may arise out, or be occasioned by or from: (i) the use and occupancy the property described Exhibit A by GRANTEE, their successors and assigns; (ii) the presence, generation, spillage, discharge, release, treatment or disposition any Hazardous Substance on or affectg the areas set out Exhibit A; (iii) all corrective actions concerng any discovered Hazardous Substances on or affectg the areas described Exhibit A, which GRANTEE, their successors and assigns agree undertake and complete accordance with applicable federal, state and local laws and regulations; and (iv) the abandonment, closg, vacation and quitclaim by the City Dallas the areas set out Exhibit A. GRANTEE, their successors and assigns hereby agree defend any and all suits, claims, or causes action brought agast the City Dallas on account same, and discharge any judgment or judgments that may be rendered agast the City Dallas connection therewith. For purposes here, Hazardous Substance means the followg: (a) any LW

4 hazardous substances under the Comprehensive Environmental Response, Compensation, and Liability Act, 42 U.S.C. Section 961 et seq., as amended; (b) any hazardous substance under the Texas Hazardous Substances Spill Prevention and Control Act, TEX. WATER CODE, Section et seq., as amended; (c) petroleum or petroleum-based products (or any derivative or hazardous constituents there or additives there), cludg without limitation, fuel and lubricatg oils; (d) any hazardous chemicals or xic chemicals under the Occupational Safety and Health Act, 29 U.S.C. Section 651 et seq., as amended; (e) any hazardous waste under the Resource Conservation and Recovery Act, 42 U.S.C. Section 691 et seq., as amended; and (f) any chemical substance under the Toxic Substance Control Act, 15 U.S.C. Section 261 et seq., as amended. References particular acts or codifications this defition clude all past and future amendments there, as well as applicable rules and regulations as now or hereafter promulgated thereunder. SECTON 9. That as a condition this abandonment and as a part the consideration for the quitclaim made here, GRANTEE shall file a fal replat the adjog properties prior the issuance any buildg permits affectg the tracts land abandoned and quitclaimed here. This fal replat shall be recorded by GRANTEE the ficial real property records the county which the abandoned area is located after its approval by the City Plan Commission the City Dallas. SECTON 1O That as a condition this abandonment and as a part the consideration for the quitclaim made here, GRANTEE shall, immediately upon the passage this ordance, close, barricade and/or place signs the areas described Exhibit A accordance with detailed plans approved by the Direcr Department Sustaable Development and Construction. GRANTEE s responsibility for keepg the areas described Exhibit A closed, barricaded and/or the signs place shall contue until the street improvements and tersection returns are removed by GRANTEE, their successors and assigns, the satisfaction the Direcr Department Sustaable Development and Construction. That the City Secretary is hereby authorized and directed certify a copy this ordance for recordation the ficial real property records the county which the abandonment areas are located, which certified copy shall be delivered the Direcr Department Sustaable Development and Construction, or designee. Upon receipt the monetary consideration set forth Section 2, plus the fee for the publishg this ordance, which GRANTEE shall likewise pay, the Direcr Department Sustaable Development and Construction, or designee: (i) shall deliver GRANTEE a certified copy this ordance; and (ii) is authorized and shall prepare and deliver a QUTCLAM DEED with regard the areas abandoned here, GRANTEE hereunder, same be executed by the City Manager on behalf the City Dallas, attested by the City Secretary and approved as form by the City Atrney. The Direcr Department Sustaable Development and Construction, or designee, shall be the sole source for receivg certified copies this ordance for one year after its passage. SECTON 12.
