10 ANNEXATION AGREEMENT THIS AGREEMENT, made and executed by and between R.L.P. Develpment Cmpany, Inc. ("Develper") and Bank One Springfield, Illinis as Trustee under Trust Agreement dated March 18, 1992, knwn as Trust # ("Trustee") (Trustee and Develper are hereinafter tgether referred t as "Owner") and the Village f Chatham, an Illinis municipal crpratin ("Chatham" r the "Village"), all f sangamn Cunty, '20 day f pa (,J, r RECITALS WHEREAS, Illinis, effective this Trustee is the recrd wner f, and Develper has ptins t purchase and intends t develp, the real estate legally described in Exhibit A (the "Real Estate") : WHEREAS, the name and address f each Owner f part f the ;1' beneficial interest in Land Trust N is disclsed in Exhibit C t the Petitin fr Annexatin attached heret as Exhibit F.,.WHEREAS, that part f the Real Estate described in Exhibit B attached heret has previusly been annexed t the crprate limits f Chatham; WHEREAS, the Owner nw prpses t annex all f the remainder f the Real Estate int the crprate limits f the Village f. WHEREAS, pursuant t sectin , et seg. f the Illinis Municipal Cde, the Village may cntract with wners f unincrprated territry regarding the terms and cnditins f annexatin theref, including matters relating t zning subdivisin cntrls, building and related restrictins, and any ther matter nt incnsistent with the Hunicipal Cde, nr frbidden by law; WHEREAS, pursuant t Article VII, sectin 10(a) f the Illinis cnstitutin f 1970 relating t intergvernmental cperatin, units f lcal gvernment may cntract with individuals, assciatins and crpratins in any manner nt prhibited by law, and participating municipalities may use their credit, revenues and ther resurces t pay csts relating t intergvernmental activities. NOW, THEREFORE, in cnsideratin f the freging and the mutual cvenants expressed herein, the parties agree as fllws: 1. Owner has petitined r shall petitin t annex the as yet unincrprated prtin f the Real Estate described in Exhibit c, cnditinal upn this Agreement; a cpy f the annexatin petitin, which includes an annexatin plat, is attached heret and marked as Exhibit F. 2

If the petitin fr annexatin cmplies with the rdinances f Chatham and the Illinis Municipal Cde, then the annexatin petitin as filed shall be recmmended and apprved by the apprpriate administrative and legislative bdies f Chatham; and an annexatin rdinance in the frm attached heret as Exhibit "G" shall be enacted by the president and bard f trustees f Chatham within thirty (30) days f executin f this Agreement. 3. Such annexatin shall be expressly cnditined and cntingent upn the simultaneus classificatin f the Real Estate int the zning classificatins in the arrangement and cnfiguratin as depicted n Exhibit E, with a side/crner lt variance t 20 feet with respect t certain lts as nted n Exhibit H. Exhibit D (the sketch map) includes certain pen space and detentin areas (designated as lts 109A, 110A, 122, 913 and 264. Owner intends and agrees t cnvey said pen space and detentin areas t the Fx Creek Estates Subdivisin Hmewners' Assciatin t be maintained by the Assciatin as green space fr the benefit and enjyment f its members and fr use as a water - detentin area. A cpy f the restrictive cvenants prpsed t be recrded t establish, define and gvern the Fx Creek Estates Subdivisin Hmewners' Assciatin, including the manner in which the pen space is t be cnveyed t the hmewners assciatin, is attached heret and marked as Exhibit "I". ZONING 4. All necessary administrative hearings and ntices required fr rezning the Real Estate have been r shall be cnducted r given prir t executin f this Agreement. Upn the enactment f an rdinance annexing the Real Estate, then withut 3

13 additinal actin required f Owner r f Chatham, the Real Estate shall autmatically be classified in the zning districts (as shwn n Exhibit E) withut any further hearing befre any administrative r legislative bdy whatsever. The sketch map plat apprved by Chatham (Exhibit D) included tentative lt numbers. The designatin f varius areas f the Real Estate int the several zning districts set frth in this Agreement are intended t be binding upn the wner, the Village f chatham, and the Real Estate, subject t the fllwing: A. The lts in the areas f the Real Estate shwn n the sketch map are subject t be renumbered and recnfigured as each final plat is prepared fr and t be sent fr apprval t Chatham subject t the requirements f the Chatham Subdivisin rdinance. B. Owner shall nt be prhibited, by virtue f the existence f a zning classificatin enacted pursuant t this Agreement, frm later seeking rezning f any prperty subject t this Agreement, prvided Owner shall cmply with all applicable rdinances and statutes. Lt 113 shall be classified in the B-2 zne, with a variance t allw building material sales with indr and utdr strage. Lts 113 and 115 shall have vegetative screening alng their rear lt lines sufficient in height and density t hide the rear f any buildings placed theren, and maintained in gd cnditin. Lts 109A and 110A shall have vegetative screening alng their suth lt lines and Lt 110A shall have vegetative screening alng its east lt line, sufficient in height and density t hide the structures and detentin wrks erected theren. 14 at least five feet in height shall be erected arund the perimeter f the water detentin wrks erected n lts 109A and 110A. APPROVAL OF FINAL PLATS 5. As set frth in paragraph 4 abve, the sketch map plat fr the Real Estate has been apprved by Chatham. Said sketch map designated the specific lts cntemplated t be included in each f 15 final plats. Accrdingly, Owner may submit up t 15 final plats f prtins f the Real Estate frm time t time. Each successive plat shall be apprved in accrdance with the prcedure set frth in the Chatham Subdivisin Ordinance, prvided each such final plat cmplies with state law and the - rdinances f the Village f Chatham. Owner shall have 12 mnths frm the date f executin f this Agreement t file its initial final plat with the Village, and the additinal final plats may be filed at times deemed apprpriate by Owner. N mre than fur (4) final plats shall be utstanding at any given time withut all public imprvements _ having been I i apprved and accepted by the Village. The initial plat will cntain 108 lts with access t Walnut street via Ptarmigan and Savannah- Drive. Plat 2 shall prvide access t Rute 4 as permitted by the state f Illinis at the lcatins shwn in the sketch map r ther lcatins satisfactry t the Village and state f Illinis unless the Village r State shall agree therwise in their sle discretin. GENERAL 6. The 1994 Subdivisin Ordinance and the 1982 zning Ordinance shall gvern all subdivisin plats prpsed r adpted pursuant t this Agreement and all zning issues with respect t the Real Estate, respectively until January 1, Thereafter 5

15 the then-current subdivisin and zning rdinances shall gvern. N substantive amendments t either a subdivisin rdinance r zning rdinance shall apply t the Real Estate until January 1, 2000i hwever, amendments which are merely prcedural shall apply t said Real Estate. Prvided, hwever, that shuld the Village adpt an rdinance regulating signs, such Ordinance shall apply within the Real Estate 7. Chatham hereby waives all prvisins f its rdinances expressly r impliedly incnsistent with this Agreement r the sketch map. Owner may cntinue any actual use f any prtin f the Real Estate lawfully in effect as f the date f this Agreement pending the filing f a final plat with respect t such prtin f the real estate, after which nly the uses permitted in such prtin's new zning classificatin shall be lawful. STREET IMPROVEMENTS, TRAFFIC CONTROLS AND EXTRA TERRITORIAL IMPROVEMENTS 8. 'Develper shall cnstruct access rads t Rute 4 at the pints shwn in the sketch map. Access cnnectins include left and right. turn lanes t Fx Creek Estates t be cnstructed in cnnectin with plat 2. Traffic signals shall be installed at the entrance f Fx Creek Estates t Rute 4 when required r warranted by the Illinis Department f Transprtatin standards and will by installed and paid fr by Develper, but Develper will be reimbursed fr such csts in accrd with the prvisins f paragraph 10 belw. 9. Develper shall cnstruct an 18-inch sanitary trunk sewer t service the real estate described in Exhibit A attached heret 6

16 and as shwn mre specifically n Exhibit J attached heret, with partial reimbursement as set frth in paragraph VILLAGE PARTICIPATION IN OFF-SITE IMPROVEMENTS. a. Village recgnizes that certain ff-site imprvements unique t and necessary fr the Prperty t prvide a public benefit fr the Village as a whle in the area f traffic safety and increased sewage capacity. The develpment will attract cmmercial develpment t the Village in accrdance with the Village I S lng-range plans. The Village anticipates increased sales and prperty tax revenues disprprtinate t the cst f prviding Village services t such cmmercial develpment, which will benefit the Village as a whle. In view f these public. benefits, the Village is willing t partially reimburse the cnstructin f certain ff-site imprvements benefitting the public generally, as set frth in this paragraph. b. The Village shall reimburse Develper fr the fllwing ff-site imprvements accrding t the frmula set frth in this paragraph, up t and including the fllwing amunts: 1. Left and right turn lanes and signals at the tw intersectins f Illinis Rute 4 and subdivisin rads 2. The incremental cst f prviding an l8-inch sanitary sewer trunk line instead f a l2-inch line which wuld have served the develpment nly, TOTAL $550,000 $ 70,000 $620,000 The dllar sums in the freging table are maximum amunts fr which the Village will be respnsible, and are based n current rder f magnitude estimates f Develper I s engineer. If the actual csts, as determined by actual cntract r itemized unit 7

17 prices, are less than the freging sums, then the Village shall be respnsible nly fr such lesser amunt. If the final csts are in excess f the freging amunts, then such excess shall be Develper's sle respnsibility. c. The Village's bligatin t reimburse a share f the ffsite imprvements shall be a functin f sales tax revenue frm lt 113 (B-2 Zning with a variance t permit indr r utdr building material sales), as designated by Ol mer within ne year f executin f this Agreement. In any year the Village shall be respnsible fr reimbursing sum which is equal t 90% f the Village's share in excess f $100,000, f Retailer's Occupatinal Tax ("ROT") receipts due and depsited frm any lumber yard lcated n such designated lt. d. The Village's bligatin t reimburse Develper fr the ff-site imprvements shall cmmence nly after cnstructin f the t... 1 '1.... ff-site imprvements and acceptance theref by the Village, the sanitary District, if applicable, r the Illinis Department f Transprtatin. In April f each calendar year, Owner shall prvide Village with a bna fide estimate f the reimbursements fr the new fiscal year beginning n May 1 s that the Village may budget and apprpriate reimbursement payments fr the upcming year. N later than August 1 f each year, the Owner shall prvide an audit prepared by a certified public accuntant f the ROT receipts fr the designated lt fr the previus fiscal year f the Village. Payment shall be made t the Develper upn cmpletin and acceptance t the audit I and after the "RT" mnies are depsited by the Illinis Department f Revenue. 8

18 e. Payments by the Village f reimbursements shall be made quarterly, upn receipt f mnies frm the Illinis Department f Revenue. In n event shall the Village payr be bligated t pay any interest n its bligatins hereunder. f. The Village's bligatins t make reimbursement payments shall cntinue until the ttal amunt f reimbursement equals the cst f the ff-site imprvements, calculated in accrdance with subparagraph (b) r until the expiratin f this agreement, whichever cmes first. On expiratin f this agreement, the Village shall have n further bligatin t pay any reimbursement amunts even if there are amunts as yet unreimbursed at the expiratin f the agreement. g. The Village des nt warrant that it has the authrity t enter int the cvenants cntained in paragraph 10. If it shuld be determined by a curt f cmpetent jurisdictin that the Village 1'/: t lacks r lacked authrity t enter int these cvenants, then the parties shall make a gd faith effrt t find alternative slutins t reimburse Owner fr ff-site imprvements set frth in subparagraph (b). h. Develper shall attempt t negtiate an agreement with the Springfield Metrplitan sanitary District under which Develper shall be rebated a prtin f the incremental cst f the sanitary sewer as set frth in subparagraph (b) heref. Develper hereby assigns all such rebates t the Village, up t such incremental cst. REMEDIES 11. Upn a breach f this Agreement, any f the parties, in any curt f cmpetent jurisdictin, by an actin r prceeding at ; 9

19 law r in equity, may secure the spec if ic perfrmance f the cvenants and agreement herein cntained, may be awarded actual, but nt cnsequential, damages fr failure f perfrmance, r bth, r in the alternative, may btain rescissin and, if permitted by law, discnnectin fr material failure f perfrmance. 13. In the event f a material breach f this Agreement, the parties agree that the party alleged t be in breach shall have thirty (30) days after receipt f written ntice f said breach t crrect the breach prir t the nn-breaching party's seeking f any remedy prvided fr herein (prvided, hwever, that said thirty (30) day perid shall be tlled - if the defaulting party has initiated the cure f said default and is diligently prceeding t cure the same). 14.
