ARTICLE 1. INTENT A N D PURPOSE The Em ployer and the Union each represents th a t the purpose a n d the in te n t o f this A g re e m e n t is to p rom ote coopera tio n a n d h a rm o n y, to recognize m u tu a l interests, to p ro v id e a channel th ro u g h w h ic h in fo rm a tio n and pro b le m s m a y be tra n s m itte d fro m one to the other, to fo rm u la te rules to go v ern the re la tio n s h ip betw een the Union and the E m ployer, to p rom ote e fficie n cy and service a n d to set fo rth h erein the basic agreem ents cove rin g rates o f p a y, hours o f w o rk and conditions o f em ploym ent. ARTICLE 2. COVERAGE A. The U nion shall be the sole colle ctive and exclusive b a rg a in in g a g e n t fo r a ll em ployees w o rk in g in the re ta il stores, in the c ity o f St. Louis and the counties o f St. Louis, St. C harles a n d Jefferson, M issouri except store m anagers, those e m p lo ye d in the m eat de p artm en t, and those tow ns presently covered under other la b o r contracts. R egular Employees B -l. A re g u la r em p lo ye e is one w h o is em p lo ye d an a v e ra g e o f tw e n ty -fiv e (25) hours o r m ore per w e e k fo r a p e rio d o f fo u r (4) - 1 -
9 w eeks. A ll other em ployees sh a ll be considered p a rt tim e em ployees. B-2. A n em p lo ye e w h o w o rk s tw e n ty -fiv e (25) hours o r m ore in a n y w e e k w ill receive the fu ll tim e ra te o f p a y. The E m ployer agrees not to e n ter in to a n y A g re e m e n t o r contract w ith his em ployees, in d iv id u a lly o r co lle c tiv e ly, w h ich in a n y w a y conflicts w ith the term s and provisions o f this A greem ent. ARTICLE 3. SHOP CONDITION I* % A. A ll em ployees w h o a re now m em bers o f the Union shall, as a condition o f em p lo y m e n t, m a in ta in m em bership in good sta n d in g consistent w ith the p ro visions o f the Labor M a n a g e m e n t R elation A ct o f 1947, as am ended. A ll Em ployees B. A ll n e w em ployees shall re p o rt to the U nion o ffice b e fore b e g in n in g to w o rk and registe r a n d m ust become m em bers o f the Union th irty -o n e (31) days a fte r th e ir em ploym ent date and th e re a fte r shall as a cond itio n o f e m p lo ym e n t, m a in ta in m em bership in good sta n ding, consistent w ith the provisions o f the Labor M a n a g e m e n t Relations Act o f 1947, as am ended. C. No em ployee shall be d e p riv e d o f m em bersh ip in the Union except in accordance w ith the constitution a n d b y -la w s o f the Union
11 ARTICLE 4. M ANAGEMENT RIGHTS The M an a g e m e n t o f the business a n d the d ire c tio n o f the w o rk in g forces, in c lu d in g the rig h t to p la n, d ire c t a n d control store o p e ra tions, h ire, suspend, o r disch a rg e fo r p ro p e r cause, tra n s fe r o r re lie v e em ployees fro m d u ty because o f lack o f w o rk o r fo r o th e r le g itim a te reasons, the rig h t to study o r in troduce new o r im pro ve d p roduction m ethods o r fa c ilitie s, and the rig h t to establish \ a n d m a in ta in reaso n a b le rules a n d re g u la tions co ve rin g the o p e ra tio n o f the stores, a v io la tio n o f w h ich sh a ll be a m ong the causes \ K fo r discharge, a re vested in th e E m ployer, p ro v id e d, h o w e ve r th a t th is rig h t shall be exercised w ith due re g a rd fo r the rig h ts o f the em ployees a n d p ro v id e d fu rth e r th a t it sx w ill not be used fo r the purpose o f discrim - in a tio n a g a in s t a n y e m ployee. ARTICLE 5. DISPUTE PROCEDURE A. The Union shall have the rig h t to designate a shop ste w a rd fo r each store. A list show ing the names and store addresses o f k. a ll ste w a rd s is to be su b m itte d to th e Emp lo ye r. The ste w a rd shall have the to p senio rity w ith respect to lay-offs in his o r her \, p a rtic u la r store. N >> B. Should a n y differences, disputes o r com- p la in ts arise o ve r the in te rp re ta tio n o r ap- - p lic a tio n o f the contents o f this A g re e m e n t, there sh a ll be an earnest e ffo rt on the p a rt o f both p a rtie s to settle such p ro m p tly th ro u g h the fo llo w in g steps: Step 1. By conference betw een the a g g rie v e d em p lo ye e, the shop ste w a rd, or both and the store m anager.
12 Step 2. By conference betw een the business a g e n t and th e zone m an a g e r. Step 3. By conference betw een an o ffic ia l o r o fficia ls o f the Union and the personnel m anger, the D ivis io n a l Vice-President, o r a representative o f the Em ployer, designated by the D ivisional Vice-President. Step 4. In the event th a t the last step fa ils to settle s a tis fa c to rily the c o m p la in t, it shall be refe rre d to the Board o f A rb i tra tio n. C. The Board o f A rb itra tio n sh a ll consist o f one person a p p o in te d b y the U nion a n d one person a p p o in te d b y th e E m ployer, a n d an im p a rtia l th ird p a rty chosen b y the firs t tw o. If the th ird a rb itra to r cannot be chosen w ith in three (3) days, then the Federal M e d ia tio n and C o n cilia tio n Service w ill be requested to fu rn is h a p a n el o f fifte e n (15) names fro m w h ich the th ird a rb itra to r m a y be chosen. The decision o f the m a jo rity s h a ll be b in d in g on both p a rtie s. The expenses o f the th ird a rb itra to r shall be p a id fo r jo in tly. D. The E m ployer m a y a t a n y tim e discharge a n y w o rk e r fo r p ro p e r cause. The U nion m ay file a w ritte n c o m p la in t w ith the E m ployer w ith in fiv e (5) days a fte r the date o f discharge, asserting th a t the discharge w a s im p ro p e r. Such c o m p la in t m ust be taken up p ro m p tly, a n d if the E m ployer a n d the Union fa il to a gree w ith in fo rty -e ig h t (48) hours, if shall be re fe rre d w ith in a tw e n ty - fo u r (24) hour p eriod to the Board o f A rb i tra tio n. Should the Board o f A rb itra tio n dete rm in e th a t it w a s an u n fa ir d ischarge, the E m ployer shall reinsta te the em ployee in accordance w ith the fin d in g s o f the Board

A n y a ccredited U nion o ffic ia l shall be g ra n te d access to the store fo r the purpose o f s a tis fy in g h im s e lf th a t the term s o f the A g re e m e n t are b e in g c o m p lied w ith b u t such o ffic ia l shall not in te rfe re w ith the duties o f em ployees o r the business o f the Emp lo ye r. V ARTICLE 6. SEPARATION PAY \ t A re g u la r e m p lo ye e w h o is separa te d fo r incom petence o r is p e rm a n e n tly separated \ d u e to discontinuance o f the jo b, store clos- V jn g o r re duction o f fo rc e shall be g iv e n one '-^ w e e k 's nofice ^o r~ bne~w e e k's p a y in lie u o f > notice. ARTICLE 7 FALSIFICATION OF PAYROLL F alsification o f p a y ro ll records shall be cause fo r discharge. ARTICLE 8. NO STRIKE, NO LOCKOUT A. D u rin g the term h e re o f the U nion a- grees th a t th e re s h a ll be no strike o r a n y o th e r inte rfe re nce w ith o r in te rru p tio n o f the norm al conditions o f the Em ployer's business - 6 -

ARTICLE 9. HOLIDAYS A N D VACATIO NS Personal H olidays - Christm as - N e w Year's A - l. There shall be no w o rk on Sundays o r the fo llo w in g h o lid a ys: fciew Y ear's Day, D ecoration D ay, Fourth o f J u ly, Labor Day, Thanlcsgiving D ay, a n d C h tistm as» o r on days le g a lly T e le b ra te d in lie u th e re o f. In a d d i tio n to the p re vio u s ly m en tio n e d h o lid a ys, a p e rsonal h o lid a y shall be g ra n te d to em- \ ployees w h o have had one (1) y e a r o r m ore ( \ o f continuous service subject to the same S C o n d itio n s set fo rth in this A rtic le fo r o th e r h o lid a ys. This personal h o lid a y shall be cele b ra te d on a n y d a y w h ich is m u tu a lly a g re e a b le to the em ployee a n d the Emp lo ye r. A fte r an em ployee has w o rk e d m ore th a n one (1) y e a r a n d has cele b ra te d his (\ firs t personal h o lid a y, he w ill q u a lify fo r fu tu re personal h o lid a y s as o f J a n u a ry 1. A n y a d d itio n a l h o lid a y s p ro c la im e d b y the P resident o f the U nited States, b y A ct o f Congress, o r b y the G o ve rn o r o f the State o f M issouri, co m m e m ora tin g the v ic to ry o f the a llie d pow ers o ve r G e rm a n y a n d J a p a n, or e ith e r o f them, shall be observed the sam e as the a b o ve m entioned h o lid a y s, if it is g e n e ra lly observed b y the re ta il stores o f St. Louis, M isso uri. The stores shall be closed to the p u b lic a t 5 :30 p. m. on C hristmas Eve a n d N e w Y ear's Eve in o rd e r to a llo w em ployees to leave no la te r th a n 6 :0 0 p. m. S unday W o rk A -2. If in case o f em ergency em ployees are re q u ire d to w o rk on S unday, th e y shall be p a id a t the rate o f tim e a n d o n e -h a lf the ^em ployee's re g u la r ra te. If in case o f em ergency em ployees a re re q u ire d to w o rk on, a n y o f the a b o ve nam ed h o lid a y s, exce p ting ' Labor Day, th e y shall be p a id a t the rate ^ o f ttme"hnd o n e -h a lf the e m ployee's re g u la r \ ra te in a d d itio n to the H o lid a y p a y. A -3. The E m ployer m ust o b ta in perm ission fro m the U nion o ffice b e fo re the em ployees w o rk in an em ergency. In the event a sudden em ergency occurs w h ile the U nion o ffice is closed, the E m ployer m ust, w ith in fo rty - e ig h t (48) hours n o tify th e U nion o ffice o f such em ergency. B irth d a y A -4. In a d d itio n to the a b o ve m entioned h o lid a ys, a ll em ployees sh a ll receive a fu ll d a y o ff, w ith p a y, on th e ir b irth d a y. If the b irth d a y fa lls on a S unday o r a h o lid a y, w h e n the store is o rd in a rily closed, o r on the re g u la rly scheduled d a y o ff, the fu ll d a y w ill be g ra n te d on a n y o th e r d a y a g reed betw een the em ployee and the store m ana g e r. The em p lo ye e shall n o tify the store m a n a g e r a t least fo u rte e n days p rio r to the b irth d a y in o rd e r to q u a lify fo r this d a y off. H o lid a y Pay B -l. A ll emloyees who have not been ab-
16 sent o f th e ir ow n accord on e ith e r the scheduled w o rk in g d a y b e fo re o r the scheduled w o rk in g d a y a fte r a h o lid a y, shall receive h o lid a y p a y on a p ro -ra te d basis; based on the a ve ra g e hours w o rk e d d u rin g the p re ceding fo u r (4) w eeks (except th a t if an em ployee is h ire d fo r re g u la r e m p lo ym e n t w ith in the fo u r (4) w eeks im m e d ia te ly preceding the h o lid a y w eek, such em ployee shall receive d e fe rre d h o lid a y p a y, based on the a ve ra g e hours w o rk e d d u rin g the fo u r (4) w e e k p e rio d fro m d a te o f em p lo ym e n t) in accordance w ith the fo llo w in g schedule: U nder 16 hours 2 hours 1 6 to 20 hours 3 hours 20 to 25 hours 4 hours 25 to 32 hours 6 hours 32 to 36 hours 7 hours 36 to 40 hours 8 hours H ow ever, if an em ployee is absent on the scheduled w o rk in g d a y b e fore or the scheduled w o rk in g d a y a fte r a h o lid a y due to proven illness, he shall receive the h o lid a y p a y p ro v id e d he w o rk e d a n y p a rt o f the h o lid a y w eek. A ll em ployees, w h o have been in the continuous e m p lo ym e n t o f the E m ployer fo r one (1) y e a r o r m ore, shall be g ra n te d one (1) w eeks vacation w ith ave ra g e pay. 2 Years C-2. A ll em ployees w h o have been in the continuous e m p lo ym e n t o f the E m ployer fo r three (3) years o r m ore, shall be g ra n te d tw o (2) w eeks vacation w ith avera g e pay. 8 Years C-3. R egular em ployees, w h o have been in the continuous e m p lo ym e n t o f the E m ployer fo r e ig h t (8) years or m ore, shall be g ra n te d \ three (3) weeks vacation w ith a ve ra g e pay. v 15 Years C-4. R egular em ployees, w h o have been in continuous e m p lo y m e n t o f the E m ployer fo r. fifte e n (15) years o r m ore, shall be g ra n te d fo u r (4) w eeks vacation w ith ave ra g e pay. \ 2 0 Years C-5. 18 Season o f Y ear C-7. The season o f the y e a r fo r ta k in g v a cations shall be m u tu a lly a g re e a b le betw een the em ployee and the Em ployer. The schedu lin g o f the e m ployee's va ca tio n sh a ll be governed according to senio rity, if p ra cticable. Employees shall receive earned v a cation p a y p rio r to th e ir v a catio n. V acation fo r Part-Time C-8. A ll p a rt-tim e em ployees w ill receive a va ca tio n o f one (1) w eek fo r one (1) year's service a n d tw o (2) w eeks fo r three (3) years service and not to exceed tw o (2) weeks. C-9. V a ca tio n p a y fo r a ll em ployees w ill be d e term in e d b y a v e ra g in g the hours w o rk e d per w e e k in the tw e lv e (12) m onths im m e d ia te ly preceding the vacation. C om pany Policy C-10. V a ca tio n w ill be fu rth e r g o ve rn e d by Em ployer policy. D. If a h o lid a y occurs d u rin g an e m p lo y ee's va c a tio n, he shall be p a id an a d d itio n a l d a y's p a y o r receive an a d d itio n a l d a y o ff in a d d itio n to his vacation pay. Leave o f Absence E. A leave o f absence o f less th a n n in e ty (90) days in a c a le n d a r y e a r shall not a ffe ct va ca tio ns. A leave o f m ore th a n n in e ty (90) days b u t not o ve r one h u n d re d -e ig h ty (180) days shall reduce va ca tio n and va ca tio n p a y b y o n e -q u a rte r. A leave o f m ore th a n one h u n d re d -e ig h ty (180) days b u t n o t o ve r tw o hundred seventy (270) days shall reduce v a cation and vacation pa y by one-half. Leave

WAGES Rate o f p a y as set fo rth in Schedule " A " attached hereto, sh a ll re m a in in e ffect fo r the life o f this A greem ent. ARTICLE 11. W ORKING CONDITIONS VA. The m eal p e rio d shall not exceed one hour and shall be a llo w e d betw een the beg in n in g o f the fo u rth h o u r a n d the b e g in ning o f the sixth hour a fte r sta rtin g tim e. The Union and the Em ployer recognize the need fo r p a rt-tim e em ployees and a g re e th a t im p ro p e r scheduling w h ich results in the use o f tw o p a rt-tim e em ployees w ith the same job classification a n d d o in g the same type o f w o rk, ra th e r than one fu lltim e em ployee, w ill be corrected w h e n b ro u g h t to the E m ployer's a tte n tio n. ARTICLE 15. The Union recognizes the need fo r conse rva tio n a n d the e lim in a tio n o f w a ste and agrees to cooperate w ith the E m ployer in suggesting and practicin g m ethods in the in terest o f conservation a n d w aste e lim in a tio n. D. The Union recognizes the need fo r im p ro ve d m ethods a n d o u tp u t in the interest o f the em ployees a n d the business and agrees to cooperate w ith the E m ployer in the in sta lla tio n o f such m ethods, in suggestin g im p ro ve d m ethods a n d in the education o f its m em bers in the necessity fo r such changes and im provem ents. ARTICLE 17. PENSION A.
