Salas, Secretary Transcontinental Gas Pipe Line Corporation Compliance Filing in Docket No. RP05-369 Ladies and Gentlemen: Transcontinental Gas Pipe Line Corporation ( Transco ) hereby submits for filing with the Federal Energy Regulatory Commission ( Commission ) First Revised Sheet No. 33B to its FERC Gas Tariff, Third Revised Volume No. 1 in compliance with the Commission s letter order issued July 28, 2005 (July 28 Order) in the referenced proceeding. The revised tariff sheet is proposed effective August 28, 2005 and reflects the removal of certain points from the List of Gathering Points included thereon. Statement of Nature, Reasons and Basis and Proposed Effective Date On June 7, 2005, Transco submitted a filing (June 7 Filing) in Docket No. RP05-369-000 to reflect, on a pro forma basis, the removal of the South Timbalier Block 300/301 and the South Timbalier Block 301 points ( Eliminated Gathering Points ) from the list of gathering points included in Transco s FERC Gas Tariff to which a separately stated gathering rate applies. The July 28 Order approved the June 7 Filing and directed Transco to file an actual tariff sheet to be effective on the date of the sale of the South Timbalier Block 300 A Dehydration Facility, (i.e. August 28, 2005). The purpose of this filing is to place a paginated tariff sheet reflecting the removal of the Eliminated Gathering Points into effect on August 28, 2005. Transco will cease assessment of the gathering rate on the Eliminated Gathering Points on August 28, 2005.

Federal Energy Regulatory Commission August 29, 2005 Page 2 Proposed Effective Date Transco respectfully requests that the Commission grant a waiver of Section 154.207 of its regulations in order that the enclosed tariff sheet be made effective August 28, 2005. Transco submits that good cause exists to grant the requested waiver as the July 28 Order accepted Transco s proposed tariff change to be effective on the date of sale of the dehydration facility, which date is August 28, 2005. In the event that the Commission elects to accept and suspend the revised tariff sheet submitted herein, in accordance with Section 154.7(a)(9) of the Commission s Regulations (Regulations), Transco moves to place such tariff sheet into effect at the end of the applicable suspension period. Materials Submitted Herewith In accordance with Section 154.7(a)(1) of the Regulations, the following material is submitted herewith: (1) In accordance with Section 154.209 of the Regulations, a proposed form of notice for the instant filing suitable for publication in the Federal Register, and a diskette copy of such notice labeled NT082905.ASC; and (2) the tariff sheet, a redlined version of the tariff sheet submitted in accordance with the provisions of Section 154.201(a) of the Regulations, and as required by Section 154.4 of the Regulations, a diskette copy of such sheet labeled TF082905.ASC. Posting and Certification of Service In accordance with the provisions of Section 154.2(d) of the Regulations, copies of this filing are available for public inspection, during regular business hours, in a convenient form and place at Transco s main office at 2800 Post Oak Boulevard in Houston, Texas. Transco states that the purpose of this compliance filing is to remove the South Timbalier Block 300/301 and South Timbalier Block 301 points from the list of gathering points included in Transco s FERC Gas Tariff as directed by the Commission s letter order issued July 28, 2005 in Docket No. RP05-369-000. Transco states that copies of the filing are being mailed to its customers and interested State Commissions. Any person desiring to intervene or to protest this filing must file in accordance with Rules 211 and 214 of the Commission s Rules of Practice and Procedure (18 CFR 385.211 and 385.214).
