Westminster-Capstone Option Agreement Overview Cumbral-San Bartolo Property, Sonora, Mexico Westminster Resources Ltd. has granted Capstone Mining Corp. an option to acquire up to a 70% interest in the prospect area through staged exploration expenditures totaling $9.3 million by December 31, 2015 and by delivering a scoping study by June 30, 2016; Capstone subscribes to 5 million shares for $750,000. Capstone agrees to: finance $1,600,000 by December 31, 2012 (completed) and an additional $1,700,000 by December 31, 2013 to earn a 49% interest; Westminster is operator. Capstone can earn: a further 11% interest by expending an additional $3,000,000 on or before December 31, 2014; Capstone may elect to be operator. an additional 10% interest by expending a further $3,000,000 on or before December 31, 2015; Should Westminster elect not to participate beyond the $9,300,000: Capstone will have the exclusive right and option to earn an additional 5% (75% Capstone-25% Westminster) undivided interest in the project by delivering a preliminary economic assessment on the property.
