The Willamettans Articles and Bylaws July 2016 Restated Nonprofit Articles of Incorporation of the Willamettans The undersigned, having formed a Mutual Benefit Corporation, not for profit, under the provisions of Chapter 65 of the State of Oregon statutes, do agree by way of restatement of the Articles of Incorporation heretofore filed. ARTICLE 1 Name The name of this Corporation is The Willamettans. ARTICLE 2 Type This is a Mutual Benefit Corporation. ARTICLE 3 Registered Agent and Office The name of the Corporation's Registered Agent is Jean W. Hawk and the physical address of the registered agent is 37000 Parsons Creek Rd., Springfield, OR 97478. The mailing address is P.O. Box 969, Marcola, OR 97454. ARTICLE 4 Principle Office Address The physical address of the Corporation's principal office is 37000 Parson Creek Road, Springfield, Oregon 97478. The mailing address is P.O. Box 969, Marcola, Oregon 97454. ARTICLE 5 Purposes The purposes of this corporation shall be as follows: A. To encourage and educate all who are interested in the nudist philosophy. B. To maintain Club property and facilities for use by the membership as a nude meeting and recreational area. C This Corporation adopts the principles and standards of the American Association for Nude Recreation, Inc. as from time to time amended. ARTICLE 6 Members This Corporation shall have members. The membership of this Corporation shall be composed of all present members and such other persons who hereafter may become members. A. Membership is open to all persons of good character over the age of 18, without regard to race or religion, who are interested in social nudism, who make application, pay required dues, comply with the rules and regulations contained in the Bylaws, and are accepted by the Executive Board of Directors. The Willamettans Articles and Bylaws July 2016 ARTICLE 7 Sale or Encumbrance of Corporate Real Property No Corporate real property shall be sold or encumbered by a mortgage, trust deed or other encumbrance without a 3/4 affirmative vote of all members entitled to vote. Such vote shall be taken by a mail ballot of all voting members in accordance with Oregon law. ARTICLE 8 Distribution of Assets upon Dissolution or Liquidation Upon dissolution or liquidation of the corporation, no part of the assets shall inure to the benefit of any individual, but the assets shall be distributed to the American Association for Nude Recreation Northwest Region, (AANR Northwest), if still in existence, otherwise to its successors (so long as the respective organization is a tax exempt organization), or for one or more exempt purposes within the meaning of 501(c)(7) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any assets not so disposed of shall be disposed of by the court of appropriate jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as that court shall determine, which are organized and operated exclusively for such purposes. ARTICLE 9 Term of Existence This Corporation shall exist perpetually. ARTICLE 10 Executive Board of Directors The Club shall have a Board of Directors designated as the Executive Board of Directors. A. The Executive Board of Directors shall consist of not more than nine members who are members of the club, as designated in the Bylaws. B. The Executive Board shall be elected by the voting classes of members of the Corporation by such means and at such meetings as may be provided in the Bylaws. C The Executive Board shall manage all business affairs of the Corporation not specifically assigned to the General Assembly. D. The personal liability of each uncompensated member of the Executive Board shall be limited to the fullest extent permitted by law, for monetary or other damages or for conduct as a member of the Executive Board. E. The Willamettans may indemnify any member of the Executive Board for legal expenses incurred as a result of being sued because of being a Director. F. Any or all Executive Board members may be removed with or without cause, at a meeting called for that purpose, by a vote of 2/3 of the members present to vote at an election of Executive Board members. ARTICLE 11 Bylaws The voting members of this Corporation shall maintain, and amend as deemed necessary, Bylaws for the conduct of its business. Such Bylaws may be amended by a vote of 2/3 of the voting members present. Page 2 of 3 Amended 2005

The Willamettans Articles and Bylaws July 2016 ARTICLE 12 Amendments Except as noted below, amendment or repeal of these Articles of Incorporation shall be the exclusive power of the voting members of this Corporation. Such changes shall be made by a two-thirds vote of the voting members present at a meeting called for that purpose. A. The Executive Board may appoint the Registered Agent as required by the State of Oregon and correct officers names and addresses as needed. B. Corrections. The Legislation Committee may make the following corrections in the Articles of Incorporation to conform to current usage: spelling, punctuation, abbreviation, capitalization, numbering, grammar, and changes or references mandated by the American Association for Nude Recreation or AANR Northwest. No such corrections may alter the meaning or application of this document. In Witness Whereof, we, the undersigned officers of the corporation, have hereunto set our hands and seals this day of, 20, for the purpose of restating the Articles of Incorporation of this mutual benefit not-for-profit corporation under and pursuant to Chapter 65 of the Oregon Statutes, as amended. The Willamettans Articles and Bylaws July 2016 Bylaws of The Willamettans ARTICLE I Name The name of this corporation is The Willamettans, hereinafter known as the club. ARTICLE II Location The location of this club is 37000 Parsons Creek Road, Springfield, Oregon 97478. Mailing address is Post Office Box 969, Marcola, Oregon 97454. ARTICLE III Membership A. Qualifications. Qualifications for membership are listed in the Articles of Incorporation. A person's membership shall include his/her unmarried children or other dependents under the age of 18, and mentally or physically disabled dependents regardless of age. B. Classes, Privileges and Voting Classes. Classes of membership are described below. All classes of members except Honorary and Honorary student members shall maintain continuous membership in affiliated regional and national organizations. 1. Charter members. Those who have been members of The Willamettans since its formation. Charter members shall pay no club dues or grounds fees. 2. Regular members. Regular members shall pay club dues but no grounds fees. 3. Regular Student members. Student members shall be between the ages of 18-25 and shall pay club dues of one-half adult rate but no grounds fees 4. Life members. Life memberships granted in the past shall be honored as long as the member remains in good standing. Life members shall pay no club dues or grounds fees. 5. Associate members. Associate members shall pay reduced club dues and appropriate grounds fees. 6. Probationary members. All new members shall be considered probationary members for one year except as noted in the Procedure Manual. They shall have use of the grounds in accordance with the fees (regular or associate) paid at the time of application. At the end of one year, the probationary membership is automatically terminated unless the Executive Board votes to accept them as full members or extends the probationary membership. Exceptions shall be made for probationary members who voluntarily terminate or do not renew their membership but who have otherwise been exemplary members 7. Honorary members. Persons deemed worthy of membership and who shall be approved on an annual basis by a 2/3 affirmative vote of the General Assembly. Neither dues nor grounds fees shall be charged. 8. Honorary student members. Honorary student membership may be granted to sons and daughters of members who are in good standing, and who are not on probation. Such memberships shall be approved by a 2/3 affirmative vote of the General Assembly. Student must be between the ages of 18 and 22 and must provide certification of full-time enrollment in a college or trade school before a membership card is issued by the Certifying Officer. The Willamettans Articles and Bylaws July 2016 Privileges and Voting. Charter, life, and regular adult members shall be entitled to vote, hold reserved sites and hold office. Regular student members shall be entitled to vote and hold office. Regular Student members shall not have the right to hold a reserved site. Associate, probationary and honorary members may attend all functions but shall not be entitled to hold reserved sites, hold office or vote. C. Dues. Membership dues shall be established by the General Assembly and shall not be changed more than once per year and only upon the 2/3 affirmative vote of the General Assembly. D. Disciplinary Actions 1. Violation of Membership Rules. Details of any rules infraction shall be documented in writing, dated and signed. The Executive Board shall investigate the incident at or prior to its next regular meeting. If the complaint is found to be valid and requiring further action, the accused individual shall be notified of the investigation and accorded due process pursuant to these Bylaws as allowed by Oregon Law. 2 Disciplinary Procedures. Prior to any member being disciplined, the Executive Board shall give the member not less than 15 days' written notice. The member shall be given an opportunity to be heard, orally or in writing, at least five days before the effective date of the action. Any notice of reprimand, expulsion, suspension or termination shall be sent by certified mail to the last address of the member shown on the corporation's records. 3. Executive Board Actions. Upon determination of a rule violation or verification of arraignment, the Executive board: a. May issue a letter of reprimand to the member. b. May suspend the member for up to 90 days with a simple majority vote of the Executive Board. c. May terminate, expel or restrict the member's access to the grounds by a simple majority vote of the Executive Board. d. Shall suspend any member who is arraigned on a felony charge involving bodily harm to another or moral turpitude pending his/her trial. Any suspension shall be in accordance with Oregon law. e. Shall terminate or expel a member so arraigned if the individual pleads guilty or nolo contendere or shall be convicted of such offense. f. A certified letter shall immediately be sent to the member(s) affected by any board actions taken in items a-e above and advised of their rights of appeal. 4. Record of Discipline. Original or copies of original complaints, rebuttals, notices, reprimands, charges or actions addressed by the Executive Board shall be included in the member's file. Such documents shall be dated and accompanied by a description of the action taken by the Executive Board. The Executive Board shall consider letters of reprimand for the same or similar violation in deciding if adequate grounds for suspension, termination or expulsion exist. After two years following issuance, members may request that the Executive Board remove a letter of reprimand from the member's file. 5. Rights of Appeal. Probationary Members, Honorary Members and Honorary Student Members shall have no right of appeal. Charter Members, Life Members, Regular Student Members, Regular Adult and Associate Members shall have a right to appeal to the General Assembly any disciplinary action taken by the Executive Board which affects the appellant's membership. A member wishing to appeal the Board actions of sections C and D. above shall send a letter requesting a hearing at the next available General Assembly meeting. This letter shall be sent to the President not more than 30 days after receipt of the certified letter. b. Upon receipt of the letter the President shall immediately advise the member the date of the General Assembly meeting at which the appeal will be heard. c. A 2/3 affirmative vote of the General Assembly at the appeal meeting shall be required to sustain the actions of the Executive Board. 6. Communication of Termination and Expulsion. The Certifying Officer shall communicate the termination or expulsion of a member to regional and national affiliated groups affected by the membership termination. 7. Reinstatement of Membership. Individuals whose membership is revoked under Article III, Disciplinary Actions, may request to be reinstated after five (5) years have elapsed. A written request for reinstatement shall be made to the Executive Board. The request for reinstatement shall be processed in the same manner as that described for Revocation of Membership, see above. E. Meetings and Voting The Annual meeting shall be held the third Sunday of July unless this date conflicts with the AANR-NW General Assembly Meeting. The Executive Board shall select a non-conflicting date in June, July or August. Regular meetings shall be held as often as necessary. The voting membership shall be composed of all charter, life, regular student and regular adult members, hereinafter known as the General Assembly. Frequency, quorum, voting and notice of meetings shall be as outlined in the Procedure Manual. Voting members must be present to vote except: 1. As noted in Articles of Incorporation, Article 7. 2. Proxy Procedures A member may carry no more than two proxies. The appointment of a proxy will remain in effect a maximum of 11 months unless a lesser period is specified. The use of a ballot will be required for all limited proxy voting. 3. Proxy Voting. Proxy voting will only be permitted for: a. The election or removal of officers, b. The election or removal of the AANR Northwest Director, c. Amendments to the Articles, Bylaws or Procedure Manual. d. Consideration of a proposed assessment. ARTICLE IV Executive Board A. Duties. The Executive Board shall manage all business of the Corporation not specifically assigned to the General Assembly. Actions of the Executive Board shall be ratified by the General Assembly. The election, term of office and responsibilities of the Executive Board are described in the Procedure Manual. B. Number of Directors. The Executive Board shall consist of President, First Vice-President, Second Vice- President, Recording Secretary, Corresponding Secretary, Treasurer, Certifying Officer, and two Members-at-Large. The Willamettans Articles and Bylaws July 2016 C. Meetings and Quorum. The Executive Board shall generally meet no later than the Saturday which immediately precedes the third Sunday of each month. The Board shall hold as many additional meetings as is necessary to properly conduct club business. A quorum shall consist of a simple majority of the Board members. 1. The Board may conduct their meetings by using any means of communications through which all directors participating may simultaneously hear each other during the meeting. Any director who participates in a meeting by this means is deemed to be present in-person at the meeting. D. Vacancies and Removal of Directors. 1. The Executive Board may declare the position of any board member vacant if his/her membership is terminated or if he/she resigns from that office. 2. The General Assembly may remove the entire Executive Board or any individual member, with or without cause, by a 2/3 vote of the members present at the Annual Meeting or at any regular or special General Assembly meeting, provided that all members have been notified that the purpose, or one of the purposes, of the meeting is removal of the director(s). 3. Vacancies shall be filled as follows: a. The office of President shall be filled by the First Vice President. b. All other Board positions shall be filled by the General Assembly at a special election to be held at the meeting following the meeting at which the office is declared vacant. E. Compensation. Executive Board members shall receive no salaries for their Board services, but may be reimbursed for expenses related to Board services. ARTICLE V Committees Standing committees are described in the Procedure Manual. Additional committees shall be determined by the President. The President shall appoint the chair of all committees subject to Board approval. ARTICLE VI Self-Restricted or Special Funds A. Land Acquisition - Emergency Growth Fund 1. A land acquisition/emergency growth fund shall be established for the specific purpose of acquiring additional land or for other emergencies to protect the corporation s survivability. 2. This fund will consist of donations, interest and assessments plus two percent of each year's gross receipts, as prescribed in the Procedure Manual. The Treasurer shall maintain the monies of this fund in a federally-insured account and they shall not be commingled with other funds. If the fund exceeds the maximum insurability in one account, another will be established. Transfer of monies from one account to another shall require the approval of the Executive Board. 3. Expenditures of part or all of such funds, other than administrative bank charges or taxes, shall require approval of 2/3 of the General Assembly at a meeting called for that purpose. B. Sewer System Fund 1. A sewer system fund shall be established for the specific purpose of maintaining collected sewer service fees in a separate account to fund repair and/or replacement of existing corporation sewer equipment and systems. This fund will consist of that portion of the Reserved Site Fees designated for sewer and the sewer service fees paid for sewer availability on temporary sites. The Treasurer shall maintain the monies of this fund in a separate account and they shall not be comingled with other funds. 3. Expenditures from this fund shall require approval of the Executive Board. ARTICLE VII Procedure Manual The General Assembly shall maintain a Procedure Manual in amplification of but not in derogation of the Articles of Incorporation and Bylaws. ARTICLE VIII Amendments A. Articles of Incorporation and Bylaws. The General Assembly has the exclusive power to amend the Articles of Incorporation and Bylaws by a 2/3 affirmative vote at the Annual Meeting. Proxy procedures apply. Amendments shall be effective at the close of the meeting at which adopted unless otherwise specified. 1. Proposed amendments shall be circulated to the members not less than 30 days or more than 60 days prior to the Annual meeting. Proposed amendments may be revised at that meeting. B. Procedure Manual. The General Assembly has the exclusive power to amend the Procedure Manual at the May, July and September meetings by a simple majority. Proxy procedures apply. Proposed amendments shall be circulated to voting members not less than 30 days or more than 60 days prior to voting. Amendments shall be effective at the close of the meeting at which adopted. C. Corrections. The Legislation Committee may make the following corrections in the Bylaws to conform to current usage: spelling, punctuation, abbreviation, capitalization, numbering, grammar and changes or references mandated by the American Association for Nude Recreation (AANR) or AANR Northwest. No such corrections may alter the meaning or application of this document. ARTICLE IX Suspension of Bylaw Provision In the case of an emergency, the General Assembly may, by a 2/3 affirmative vote, declare an emergency, and by a separate 2/3 affirmative vote approve the suspension of a specific section of the Bylaws. The suspension of a specific section shall apply only to the emergency. ARTICLE X Parliamentary Authority The Articles of Incorporation, Bylaws, Procedure Manual and Robert's Rules of Order, newly revised, shall govern in all parliamentary procedures.
