I understand that, because the Village and WachsWater did not reach a final agreement, the Village has approached the second low- bidder, who is prepared to enter into a contract based on the bid documents. The only varia ce, however, is that the bid documents set a project completion date of 7/ 18/ 16, which is not feasible given the late date for entering into the contract. I have suggested that the parties sign the contract form in the bid documents, but that( i) the 7/ 18/ 16 completion date be stricken; ( ii) a new, mutually agreeable date be hand- written into the contract; and ( iii) representatives of both parties initial this change. Because there is no contract as yet, this is not technically a change order; rath r, it is a variance from the bid documents. Under the circumstances, the variance is immaterial and waivable by the Village. The Village' s initially the change on the contract document will represent its written waiver of the 7/ 18/ 16 contract completion date. It appears that WachsWater is takin;; the position that its" Condjtions of Engagement" ( and particularly the " Liability and Warranties" provisions therein) ai e part of the bid and that they trump the contract terms set forth in the bid documents. Although the Bid Packet( pp. 7-8) states that terms of a proposal that are at variance from the Bid Packet may be interpreted in the manner most favo rable to the Village or otherwise may be grounds for rejection of the bid, the letter from Wachs Water seems to say t at there is no meeting of the minds because it is not willing to sign the contract documents that do not incorporate the " Liability and Warranties" conditions incorporated into its bid. As a result, I think that the Village has three basic options: a. Treat the " Conditions of Engagement" as a nonconformity with the bid requirements and reject the bid. b. Waive the discrepancy that is presented by the " Conditions of Engagement," in which case we will not be requiring WachsWater to sign Attachment D. i

28 c. Assert that WachsWater has failed to accept the bid and call the bid security. This is an aggressive move, and it is not clear that the Village would be in the strongest position to do this. We sought bids for X, U1 achswater submitted a bid for X'. Either we waive the discrepancies from the bid terms ( and therefore accept WachsWater' s conditions) or we do not and reject the bid. I suggest that you do not respond to WachsWater quite yet. Rather, contact the second low bidder. If the second low bidder is willing to abide by our the full terms of the bid packet, then ( i) reject WachsWater as being non: ompliant, and ii) approve the second low bidder. ( This would be an action of the Village Board, which would be the ca e for awarding the contract to either bidder.)
