3 Page l L INTRDUCTIN The Carmen Prperty, (r Nighthawk Lake area), has been recgnized since the early 19's as ne f the wrld's leading gld prducing areas, situated near Timmins, ntari, part f the Prcupine mining camp. Since 1991 Crss Lake Minerals has been explring an area apprximately 15 km east f Nighthawk Lake and in 1997 annunced that drill hle CLS returned a 33 meter sectin which assayed b.11% zinc, 1.86*^0 lead, g/tnne f silver and Q.16% cpper. Since Kidd Creek Mine (a majr VMS cpper-zinc depsit), and Redstne, Langmuir, McWatters and the Hart nickel depsits are present in this area, the ecnmical ptential fr nickel and gld, cmbined with this Crss Lake Minerals' discvery f VMS-type zinc-lead-cpper-silver mineralizatin makes this area very attractive fr explratin. 2. SUMMARY AND RECMMENDATINS The prperty acquired by Ag Armen Mines & Minerals Inc. situated alng the perimeter f the Shaw Dme, the main structure sutheast f Timmins and the hst fr the Redstne, Langmuir, McWatters and Hart nickel depsits. Several strng EM cnductrs and magnetic anmalies ccur n the Carmen prperty, mst f which lie beneath Carmen Bay. This prperty hlds the ptential fr cntaining quartz vein-hsted gld mineralizatin, VMS-type nickel r zinc-lead-cpper mineralizatin, r ultramafic-hsted nickel-cpper mineralizatin. In rder t test the prperty fr mineralizatin f these types, Dan Patrie Explratin Ltd was requested by Ag Armen Mines fc Minerals Inc t d an explratin prgram n their newly acquired grund. The prgram cnsisted f cutting f a grid, a Max-Min EM and magnetmeter survey carried ut under the supervisin f Mr. Whayne Murtn, cnsulting Gelgist fr Ag Armen Mines 8c Minerals Inc.. The results f the survey have been summarized and is shwn n the accmpanying maps. A drill prgram is recmmended t evaluate the HLEM cnductrs fr the ptential f finding a base metal and r gld depsit.

5 Page 2 i PRPERTY LCATIN AND ACCESS Lcated 20 km sutheast f the twn f Timmins, ntari, in the sutheast quarter f Carmen Twnship, (District f Cchrane), the Carmen prperty cvers Carmen Bay, which lies at the suth end f Nighthawk Lake, and the east side f the bay as far as the bundary with Thmas Twnship. Access t the east shre f Carmen Bay is by bat r by snwmachine suth frm Nighthawk Lake. The west side f the prperty, which lies alng the west shre f Carmen Bay, is accessible by secndary rads and trails extending sutheast frm the twn f Suth Prcupine, Timmins and Highway 101. The Carmen prperty lies apprximately 15 kilmeters suthwest f the Crss Lake discvery (which is in Sheratn Twnship). It is surrunded by claims held r cntrlled by Band-re Resurces, utkumpu, Canadian Glden Dragn, Suthern Africa Minerals, Brwnstne Resurces, Maple Minerals, Pacific Vangld Ltd. and East West Resurces Ltd. It is in clse prximity t claims held by Glden Knight Resurces and Ryal ak Resurces. 3J. INSTRUMENTATIN AND WRK DNE The Max-Min Hrizntal Lp survey was dne using a Max-Min II Apex transmitter and Receiver with 2 frequencies read, 444 Hz and 888Hz at 25 meter intervals and a 2 meter cil spacing. The ttal field magnetmeter survey was carried ut using an EDA MNI PLUS magnetmeter unit in cmbinatin with an MNI base statin magnetmeter. These are ttal field magnetmeters which measure the magnetic field thrugh the use f prtn prcessinal effects caused by the interactive f a magnetic field with spin aligned rich fluid. An instrument accuracy precisin and reslutin f 0.5 nt may be btained with this instrument under ideal cnditins. The ttal magnetic field was measured at 25 meter intervals alng grid lines and crrected using a base statin lcated n grid. The crrected magnetic data and Max-Min HLEM data was pltted and is presented n maps in back f reprt. A ttal f 57 kilmeters f line cutting and mag, and 61.3 kilmeters f HLEM was surveyed n the Carmen Bay Prperty.

6 Page 3 4 REGINAL GELGY The Carmen Prperty is underlain by rcks f the Abitibi subprvince f the Superir Structural Prvince f the Canadian Shield. Mre lcally the Night Hawk Lake area is underlain by Archean age felsic, mafic and ultramafic metavlcanic rcks, with minr assciated Fe frmatins and metasediments. All f these units have been cut by a few relatively small felsic intrusive bdies and diabase dykes. The metavlcanics cmprise tw grups: the Delr Grup rcks, and the Tisdale Grup rcks - cnsisting f tw separate ultramafic thrugh mafic t felsic vlcanic cycles. The Delr Grup (the lder f the tw), is cnfined generally t the Shaw Dme, the dminant structure f suth and sutheast Timmins, which is a large east-west trending elliptical bdy with a cre f calcalkaline basaltic pillw lavas verlain by felsic flws and pyrclastic rcks. ccurring reginally at r near the cntact between the felsic rcks f the Delr Grup and the verlying rcks f the Tisdale Grup are the Sulphide facies Fe frmatins. The felsic pyrclastics and Fe frmatins f the Delr Grup are interfingered with and verlain by ultramafic t mafic kmatiite flws and intrusives (peridtite and dunite). Kmatiite flws are in turn verlain by a thick sequence f thleiitic basalt and an uppermst vlcaniclastic unit f calcalkaline cmpsitin. The kmatiites, basalts and vlcaniclastics are all part f the Tisdale Grup. The cntact between the Delr rcks and the Tisdale Grup rcks appears t lie under and alng the nrtheast shre f Carmen Bay. Metasediments referred t as the Prcupine Grup, ccur alng the west side f Night Hawk Lake. They are cmpsed f a turbidite sequence f interlayered greywacke, siltstne and lesser cnglmerate. They are cnsidered time equivalent t the upper prtin f the Delr Grup and all f the Tisdale grup. Cncrdant dunite-peridtite sills ccur with the Delr Grup felsic metavlcanics. They are cnsidered t be magma reservirs fr the kmatiites in the area. Late Archean grandirite and trndhjemite stcks have intruded the regin. All units are cut by nrtheast trending diabase dyke swarms f Prterzic age. A series f parallel lineaments trends nrthwest-sutheast thrugh the Night Hawk Lake area. Reginal metamrphism is prehnite-pumpellyite t greenschist facies. Carbnatized rcks

8 Page 4 in the regin are assciated with gld mineralizatin. The area has been erded by cntinental glaciatin during Pleistcene times. Ice flw directin frm glacial striae indicates mvement slightly east f suth. A thin bulder clay till lies n the bedrck. Cvering this are fluvial depsits f well srted sand and gravel. Lake sediments in the frm f varved clays frm Lake Barlw-jibway cver the fluvial depsits. The Redstne, McWatters, Langmuir and Hart nickel depsits are all situated alng the suthern and sutheastern flank f the Shaw Dme alng r near the cntact between felsic metavlcanic rcks f the Delr Grup and the verlying kmatiite flws f the Tisdale Grup. The Redstne depsit is hsted by dacitic tuff, verlain by kmatiitic flws. The McWatters, Langmuir and Hart depsits are hsted by kmatiite flws verlying felsic t intermediate crystal tuff. All fur depsits are spatially assciated with sulphide facies Fe frmatins. Gld mineralizatin in the Timmins regin has been pstulated t be derived frm n e f tw methds: 1) frm small rcks f quartz-feldspar prphyry f subvlcanic rigin (Griffs, 1972), r 2) frm mbilizatin ut f ultramafic vlcanic rcks (the surcebed) int structurally favrable sites during carbnizatin f the ultramafics (Pyke, 1975). 5 PRPERTY GELGY Cvering the sutheast quarter f Carmen Twnship, the Carmen prperty extends frm the bundary with Thmas Twnship westward t the western shre f Carmen Bay, then nrth frm the suth bundary f Carmen Twnship t the suth end f Night Hawk Lake. West f the Bay and suth f Night Hawk Lake is an area underlain by Delr Grup mafic t felsic metavlcanic rcks. East f the nrtheast shre f Carmen Bay, as far as Thmas Twnship, and alng the sutheast shre f the Bay, the rcks have been interpreted as Tisdale Grup massive mafic t intermediate lavas, and the general strike f these Tisdale vlcanics is N-S and NW-SE. West f the Carmen prperty, faulted units f serpentinized peridtite and dunite are fund, these mafic/ultramafic rcks have nt been interpreted as kmatiites but as intrusive bdies. Diamnd drilling under the Bay (Hunt and Maharaj, 1980), has shwn that the bedrck there cntains

9 Page 5 ultramafics, recgnized peridtite serpentinized rcks and lamprphyre dykes, it als shws the presence f massive felsic and mafic flws under the Bay. Carbnatized hrizns have been recgnized in mafic and felsic flws alng the suthern Carmen Twnship bundary west f Carmen Bay. These are assumed t be in the Delr vlcanics. The presence f felsic vlcanics and ultramafics intrusive rcks under Carmen Bay indicates that the tp f the Delr Grup dips west under Carmen Bay. Numerus EM cnductrs trending N-S strike f the bedding in thse rcks. All f these units are cut by a NE-striking diabase dyke which crsses Carmen Bay and passes thrugh the nrtheast crner f the prperty. In the Night Hawk Lake area nrth f Carmen Bay, a series f parallel NE trending faults cut all f the lder units. Subsequent t this, a series f NW trending parallel faults cut all previus bedrck and faults, and shws lateral mvement. Sme vertical mvement is indicated as well, by anticlines with NE trending axes extending frm the suthwest crner f Carmen Twp. Acrss t the nrth end f the Carmen Bay prperty at the nrth end f Carmen Bay. Gld and silver-cpper mineralizatin has been reprted frm the suthwest crner f Carmen Twp. Tri Prcupine Mines Limited had claims n the east shre f Carmen Bay. Mapping shwed sheared and carbnatized greenstnes cut by numerus feldspar prphyry and felsic dykes striking 025 degrees. Stripping and trenching in 1936 uncvered quartz stringers in the dykes and enclsing schists. Pyrite and galena ccur in the stringers and pyrite disseminated thrughut the carbnatized schist. Gld up t S6.7tn (at a gld price f apprximately 535/z) was reprted by the wners. Scattered gld values were reprted frm drill hles put dwn n the lake ice in ther prperties explred nrth f the present Carmen prperty returned n significant mineralizatin. Patented claims n the west shre f Carmen Bay cntain pyrrhtite Fe frmatin. N significant gld mineralizatin was present there. Suth f Carmen Twp., the Shaw Dme cntinues int Langmuir, McWatters and Hart nickel depsits. The Redstne nickel depsit in Eldrad Twp., lies within dacitic tuffs at the tp f the Delr Grup, verlain by Kmatiitic flws at the base f the Tisdale Grup.

10 Page 6 6 HISTRY F EXPLRATIN E.M. Burwash, in 1896, fund rcks cntaining traces f gld in the utcrps alng the present bundaries f Carmen/Shaw twp. During 1899, W. A. Parks explred between Prcupine Lake and Night Hawk Lake. In their study f the reginal Abitibi area, 1904, G.F. Kay and T.D. Jarvis examined parts f Night Hawk Lake. Prcupine Mining Camp's first recrded claim was smewhere n the suthwest shre f Night Hawk Lake. In May f 1905, by Edward rr Taylr (Brwn, 1907). Native gld was discvered in 1907 n the Eastern tip f the Nrthern Penninsula (Cdy Twp.), by Victr Mansn and Harry Benella. Gld was being discvered further west ver the next tw years. A paper n the gld ccurences at Night Hawk Lake, (Miller, 1907), was published by W.G. Miller, then A.G. Burrws published three amps and tw reprts n the area frm 1910 t 1912 (Burrws and Rgers, 1910; Burrws, 1911 and map; 1912 and map). A third map was issued in 1915 (Burrws, 1915), a map f the "Gld Area Between Lakes Abitibi and Night Hawk," prduced in 1919 (Knight et al., 1919), and then Burrws' furth map, cvering the twnships west f the lake (Burrws, 1924). The same year, Hpkins, issued a reprt n the gld ccurences f Night Hawk Lake (Hpkins, 1924). A summary was prduced by E.D. Kindle, f the gld ccurences arund Night Hawk Lake (Kindle, 1926). Between 1935 and 1937 the Prcupine area, in part, was remapped, including parts f Cdy and Carmen twnships (Hurst, 1939). In the late 1930's the Langmuir-Sheratn area, and parts f Carmen and Thmas twnships were explred (Berry, 1940). In 1971 an additinal utcrp map was prduced by E.J. Leahy (Leahy, 1971). W.R. Dunbar published a paper n the structural relatinships f the re depsits in the Prcupine camp, and subdivided the vlcanic rcks and assciated sediments int the Delr Grup and the Tisdale Grup (Dunbar, 1948). "The Prcupine Gld Area", reprt was published in 1950 by the Resident Gelgist at Timmins (Hgg, 1950). The Gelgical Survey f Canada published aermagnetic maps f the Night Hawk Lake area in 1956 (G. S.C., 1956) frm wrk dne by the Dminin Gulf Cmpany frm wrk carried ut between 1947 and The Timmins-Kirkland Lake Cmpilatin Map was issued, and this map included the Night Hawk Lake area (Ginn et al., 1964). Between 1964 and

11 Page gelgical maps and reprts have been published t cver nearby parts f the Prcupine camp (Pyke, 1970, 1975, 1982; Cad, 1979; Fyn and Crckett, 1983). Many ther studies have been carried ut n the Prcupine gld and base metals camp ver the last 20 years but have nt been used in this reprt. Since 1907, when native gld was discvered n an island ff the Eastern tip f the Nrthern Peninsula in Cdy Twnship, by Victr Mansn and Harry Benella, the Night Hawk Lake area has been explred fr gld. First arund the Nrth Peninsula and later farther west and suth, explratin was cncentrated in the siliceus Fe frmatins, granite and quartz veins. Up t 1967 apprximately 27, 469 unces f gld had been recvered frm tw prperties n Nrth Peninsula, and sme reserves were still present as f Quartz veins are prlific thrughut the area and the gld ccurences have been explred in Cdy, Macklem, Thmas and Carmen twnships. Until the 1960's gld was the nly ecnmic mineral f interest in the area. Barite had been mined frm Langmuir Twnship frm 1911 t The discvery f the Me Walters nickel depsit in 1964 in Langmuir Twnship led t staking f claims and explratin fr base metals, and in particular, nickel. Depsits f this metal include the Langmuir, McWatters, Redstne and Hart(Figure 4,5). As f January 1976 the Langmuir Mine, 5 km suthwest f the Carmen prperty, cntained a depsit f 857, 528 tns grading t.75% Ni and G.6% Cu. Prductin between 1973 and 1975 was 550,0 tns grading apprximately 1.50*^ Ni. Precius metals were recvered as well. At the McWatters depsit 52,0 tns f re grading Ni and G.5% Cu were mined. This depsit lies 6 km suthwest f the Carmen prperty. Bth f these nickel depsits ccur in Langmuir twnship. The redstne depsit lies in Eldrad twnship 12 km suthwest f the Carmen prperty. Select samples frm here assayed up t Ni, Q.97% Cu, g/tnne platinum, 6.02 g/tnne palladium and 2.12 g/tnne f gld (Rbinsn and Hutchinsn, 1982). Sme explratin has als been carried ut fr asbests in ultramafic intrusive rcks n the west side f Carmen Bay. Explratin fr base and precius metals has cntinued in the area up t the present time. The mst recent spur t explratin activity has been generated by the discvery f a zne f plymetallic mineralizatin by Crss Lake Minerals Ltd. Crss Lake has held a mining prperty in Sheratn Twnship, 15 km

13 PageS nrtheast f the Carmen prperty, since In ctber 1997 Crss Lake Minerals released the assay results frm drill hle CLS Between 278 m and 311m dwn this hle the weighted average grade ver a length f 33 m was zinc, and 1.860A lead, g/tnne silver, Q.16% cpper and g/tnne gld. This includes a 6 m sectin frm 281 m t 287 m cntaining an average grade f IS.4% zinc, 314 g/tnne silver, 9.28V lead, Q.69% cpper and 0.183"^ g/tnne gld (Crss Lake, 1997). The zne is hsted by a cherty rhylite verlying a sericite and chlrite schist cntaining cherty bands and disseminated sphalerite (zinc) and galena (lead). Additinal mineralizatin is present abve and belw the main hrizn. Zinc fund belw the main hrizn is cntained in a rhylite breccia. Drilling since that time has cnfirmed the presence f a VMS ( vlcangenic massive sulphide) system within a 3 km lng gephysical trend knwn as the Crss Lake Zne. 7 CURRENT EXPLRATIN PRGRAM 7.1 WRK DNE A prgram f HLEM and MAG surveys were cmpleted n the prperty between March 12 t March 30, A ttal f 57 kilmeters f line cutting, 57 kilmeters f magnetmeter survey and 61.3 kilmeters f Max-Min Hrizntal Lp Survey was dne ver Ag Armen Mines and Minerals Inc Carmen Bay Prperty. The wrk cvered the fllwing claims all r in part: (5 units), (12 units), (l unit), (l5 units), (l2 units) (9 units). Ttal 54 units.

14 Page 9 8 INTERPRETATIN There is a high linear magnetic anmaly running nrth-east and suth-west at the tp f the prperty acrss lines 3+ E t 10+ E. The high magnetic signature f the grid nrth is relatively unifrm and relatively unifrm in the range f 60,0 nt which suggests a dyke like bedrck frmatin. The Max-Min Hrizntal Lp Electrmagnetic Survey lcated significant anmalies. There is ne cnductr n lines 26+E t line 30+ E running in a nrth east directin fr 4 meters and anther cnductr striking nrth west frm line 23+E t 20+E 3 meters in length. Anther cnductr is lcated at apprximately 4+N frm 5+E t 8+E. There is ne small classic anmaly n base line 0+ centered at 16+25E. Fr mre detail see maps included. It is ften the case that a zne f massive mineralizatin has nly weak gld cncentratins but disseminated t ne side f the zne r the ther have high cncentratins. These disseminated znes wuld nt be detectable by Max-Min HLEM surveys thrugh the verburden depth smetimes encuntered and may nt be cnductive enugh even fr sensitive EM systems. Disseminated mineralizatin is an excellent target fr induced plarizatin methd, and is strngly recmmended fr this prperty t lcate gld bearing disseminated sulfides. Diamnd drill testing f any f the detected cnductrs shuld be preceded by a mre pwerful, mre sensitive electrmagnetic survey. T gain a depth and sensitivity a PEM survey shuld be directed at and arund cnductrs. The increased spatial and gemetric reslutin f fixed transmitter TDEM system will cllect much mre infrmatin abut the cnductrs than currently knwn. The results f the survey are cnsidered t be encuraging and in view f the ptential f the prperty, all f the claim grup being surveyed by ther types f gephysics is recmmended.

15 9 CNCLUSINS Page 10 In summary, the Carmen prperty is cnsidered a very favrable gelgical envirnment fr the lcalizatin f gld mineralizatin f ecnmic imprtance. Fund within the Prcupine mining camp (ne f the wrld's mst prductive mining camps), It cntains quartz vein-hsted gld depsits, ultramafic intrusive hsted nickel-hsted nickel-cpper depsits and VMS-type nickel and zinc-lead-cpper-silver-gld depsits. The entire perimeter f the Shaw Dme, alng the Delr/Tisdale cntact, where the Carmen prperty lies, is an excellent area fr explratin fr massive sulphide depsits. Explratin by previus wners has revealed numerus EM cnductrs under Carmen Bay, sme f which are assciated with magnetic anmalies, which suggest that there are sulphide bearing hrizns cncrdant t the bedding f the enclsing rcks. In rder t further evaluate the ptential f this prperty, it is suggested that a prgram cnsisting f diamnd drilling n the HLEM cnductrs fund n the prperty.
